The “Provisional Film Production, Distribution and Screening Operational Access Qualifications Regulations” were passed at the Administration meeting of 28 September 2003, are hereby promulgated, and take effect on 1 December 2003.

Article 1: In order to fully muster social forces and accelerate development of the film industry, foster market subjects, standardize market access, strengthen the film sector’s overall strength and competitiveness, promote the flourishing of a socialist film sector, satisfy the spiritual cultural life needs of the broad masses, these Regulations are formulated.

Article 2: These Regulations apply to qualifications for access and management of domestic State-owned and non-State owned enterprises engaging in the film production, distribution and screening sectors, as well as foreign-invested companies participating in operating film production and screening work.

Article 3: Domestic State-owned and non-State owned work units (not including foreign invested) are encouraged pool funds with presently existing film production work units, and cooperate in the establishment of film production companies, or to establish film production companies by themselves; foreign-invested companies are permitted to hold shares in film production companies established in cooperation and by pooling capital with presently existing domestic State-owned film production work unit

(1) Reporting conditions for establishment of a joint venture, cooperative (not including foreign invested) film production company:

1, a registered capital of no less than 1.000.000 Yuan;

2, an application letter, contracts, internal regulations, and a copy of the operations permit issued by industry and commerce administration of all cooperating parties must be submitted.

(2) Reporting conditions for establishment of a Sino-foreign joint venture or cooperative film production company:

1, a registered capital of no less than 5.000.000 Yuan;

2, the proportion of foreign capital in the registered capital may not exceed 49%;

3, an application letter, contracts, internal regulations, and a copy of the operations permit issued by industry and commerce administration of all cooperating parties must be submitted (the foreign party may provide evidence material for their financial situation issued by a certified accountancy office).

(3) Reporting conditions for domestic State-owned and non-State owned film and television culture work units not having obtained a “Film Production Permit” (not including foreign invested) establishing film production companies by themselves:

1, At the time of the first film shooting, a “Film Production Permit (Single Film)” must be applied for and received; at the time of application, materials such as a copy of the business licence issued by industry and commerce administration, financial evidence from that work unit, a story outline of the produced film, etc., must be submitted to SARFT; after obtaining the “Film Production Permit (Single Film)”, corresponding formalities must be conducted with the administrative industry and commerce entity of that locality;

2,  having invested in the production of two or more (including two) films with the method of the “Film Production Permit (Single Film)”;

3, a registered capital of no less than 1.000.000 Yuan;

4, corresponding materials such as an application letter, a copy of the business licence issued by industry and commerce administration, the “Film Production Permit (Single Film)” and “Film Screening Permit” of the two films in the production of which was invested, etc., must be submitted.

(4) Where the conditions of the abovementioned items (1), (2) and (3) are complied with, SARFT issues a “Film Production Permit”.

The applicant goes to the administrative industry and commerce entity of their locality to conduct corresponding formalities with the SARFT approval documents and the “Film Production Permit”.

Article 4: Film production companies having obtained a “Film Production Permit” according to the provisions of Article 3 of these Regulations, enjoy the rights and obligations equivalent to presently existing State-owned film production work units under the “Film Management Regulations”.

Article 5: State-owned and non-State owned work units (not including foreign-invested) are encouraged to control or establish by themselves film technology companies, transform film production and screening infrastructure and technological equipment; foreign-invested companies are permitted to purchase shares in enterprises operating this sort of work, foreign-invested enterprises may control enterprises operating this sort of work in approved provinces and municipalities. The reporting criteria are:

(1) a registered capital of no less than 5.000.000 Yuan

(2) an application letter, contracts, internal regulations, and a copy of the operations permit issued by industry and commerce administration of all cooperating parties must be submitted.

(3) those applicants complying with the above criteria, after examination and approval by SARFT, must go to the relevant State entities to conduct corresponding examination and approval formalities with the SARFT approval documents.

Article 6: For foreign related work conducted by those under the provisions of Article 3 and Article 5, corresponding formalities must be conducted according to relevant State laws and regulations.

Article 7: State-owned and non-State owned film and television culture work units are encouraged to establish companies only dealing with domestic film distribution. The reporting conditions and procedures are as follows:

(1) a registered capital of no less than 500.000 Yuan;

(2) already having distributed two films while acting as an entrusted agent of a film producing work unit or having already distributed two television dramas while acting as an entrusted agent of a television drama producing work unit;

(3) materials such as a letter of application, a copy of the operations permit issued by industry and commerce administration, and agency entrustment credentials of the earlier distributed films or television dramas, etc., must be submitted.

(4) To those conforming to the above conditions and applying with SARFT for the establishment of a film distribution company only dealing in domestic films, SARFT will issue a “Film Distribution Business Permit” for distributing domestic films nationwide; those applying for establishment with the local provincial-level administrative film entity for establishment of a distribution company exclusively dealing in domestic films, the local provincial-level administrative film entity issues a “Film Distribution Business Permit” exclusively for domestic films in that province. The applicant shall go to the administrative industry and commerce management entity of their locality with the “Film Distribution Business Permit” to conduct corresponding formalities.

Article 8: Companies having obtained a “Film Distribution Business licence” exclusively for domestic films according to the provisions of Article 7 of these Regulations, enjoy rights and obligations equivalent to presently existing provincial-level film distribution companies under the “Film Management Regulations”.

Article 9: SARFT shall, according to the “Yearly Assessment Rules Concerning Distribution and Projection of Domestic Films”, conduct yearly assessment of companies having obtained the “Film Distribution Business licence”.

Article 10: Cinema chain companies are permitted to conduct integration in close form or loose form. It is encouraged to reintegrate with interprovincial cinema chains as the basis, according to the principle of management in good order. It is not permitted to merge cinema chains according to whole administrative areas. Cinema chain integration shall be reported to SARFT for examination and approval.

(1) Domestic State-owned and non-State owned film and television culture work units (except foreign-invested) are encouraged to invest in presently existing cinema chain companies through shareholding or share controlling or organize cinema chain companies by themselves.

1, When investing in presently existing cinema chain companies through shareholding (with a share part of 49% or less), the investing work unit must invest no less than 30.000.000 Yuan within three years, to be used for new cinema construction and transformation in that cinema chain; when investing in presently existing cinema chain companies through share controlling, the controlling work unit must invest no less than 40.000.000 Yuan within three years, to be used for new cinema construction and transformation in that cinema chain.

2, When organizing cinema chain companies by themselves within one province or nationwide, the organizing work unit must invest no less than 50.000.000 Yuan within three years, to be used for new cinema construction and transformation in that cinema chain.

3, For organizing cinema chain companies, corresponding formalities shall be conducted according to SARFT regulations concerning establishment of cinema chains. Those organizing cinema chain companies within a province, shall be examined and approved by the provincial, autonomous region or municipal People’s Government administrative film entity of their locality, and report to SARFT for filing, those establishing interprovincial cinema chain companies, shall be examined and approved by SARFT.

(2) State-owned and non-State owned work units are encouraged to engage in film distribution and screening work on the countryside nationwide in many ways with individuals according to the provision of the “Film Management Regulations”, and to engage in film screening work in urban schools and community in many ways.

(3) State-owned and non-State owned work units are encouraged to invest in establishment and transformation of cinemas with individuals. For operation of film screening work, the county-level or higher local administrative film entity must be reported to for approval, and corresponding formalities must be handled at the local administrative industry and commerce management entity.

Article 11: Film import operation work shall be conducted exclusively by film import operation enterprises approved by SARFT. Nationwide, imported film distribution work shall be conducted by distribution companies approved by SARFT and having distribution rights nationwide for imported films.

Article 12: Film production work units are encouraged to export domestic films having obtained the “Film Public Screening Permit” through many channels. Film Production work units are encouraged to participate in foreign film festivals (exhibitions), films participating in film exhibitions shall have obtained the “Film Public Screening Permit”, and be reported for filing with SARFT beforehand.

For organization of Sino-foreign film exhibitions or international film festivals (exhibitions) within the country, SARFT shall be reported to for approval.

Article 13: For the “Film Production Permit” and “Film Distribution Business licence” issued by SARFT, a biannual assessment system is implemented. Local administrative film management entities, according to their management power, implement a yearly assessment system over the “Film Distribution Business licence” and the “Film Screening Business licence: issued by them.

Article 14: In circumstances where these Rules contain no provision, the “Film Management Regulations” and corresponding regulations apply.

Article 15: These Regulations take effect on 1 December 2003.

《电影制片、发行、放映经营资格准入暂行规定》经2003年9月28日局务会议通过,现予发布,自2003年12月1日起施行。

第一条 为了充分调动社会力量加快发展电影产业,培育市场主体,规范市场准入,增强电影业的整体实力和竞争力,促进社会主义电影业繁荣,满足广大人民群众的精神文化生活需求,制定本规定。

第二条 本规定适用于境内国有、非国有企业经营电影制作、发行、放映业务及外资公司参与经营电影制作、放映业务的资格准入管理。

第三条 鼓励境内国有、非国有单位(不含外资)与现有国有电影制片单位合资、合作成立电影制片公司或单独成立制片公司;允许外资参股与境内现有国有电影制片单位合资、合作成立电影制片公司。

(一)成立合资、合作(不含外资)电影制片公司的申报条件:

1、注册资本不少于100万元人民币;

2、须提交申请书、合同、章程、工商行政管理部门颁发的合作各方营业执照复印件。

(二)成立中外合资、合作电影制片公司的申报条件:

1、注册资本不少于500万元人民币;

2、外资在注册资本中的比例不超过49%;

3、须提交申请书、合同、章程、工商行政管理部门颁发的合作各方营业执照复印件(外方可提供会计师事务所出具的财务状况证明材料)。

(三)未取得《摄制电影许可证》的境内国有、非国有影视文化单位(不含外资)单独成立电影制片公司的申报条件:

1、首次拍摄影片时需申请领取《摄制电影许可证(单片)》;申请时须向广电总局提交工商行政部门颁发的营业执照复印件、本单位的资金证明、拟摄制电影的剧情梗概等材料;领取《摄制电影许可证(单片)》后,到所在地工商行政管理部门办理相关手续;

2、以《摄制电影许可证(单片)》的形式投资拍摄了两部(含两部)以上电影片;

3、注册资本不少于100万元人民币;

4、须提交申请书、工商行政管理部门颁发的营业执照复印件、投资摄制的两部《摄制电影许可证(单片)》、《电影片公映许可证》等相关材料。

(四)符合上述(一)、(二)、(三)项条件的,由广电总局颁发《摄制电影许可证》。

申请人持广电总局的批准文件和《摄制电影许可证》到所在地工商行政管理部门办理相关手续。

第四条 按照本办法第三条规定取得《摄制电影许可证》的电影制片公司,依《电影管理条例》享有与现有国有电影制片单位同等的权利和义务。

第五条 鼓励国有、非国有单位(不含外资)控股或单独成立电影技术公司,改造电影制片、放映基础设施和技术设备;允许外资公司参股经营此项业务,外资公司在经批准的省市可以控股经营此项业务。申报条件:

(一)注册资本不少于500万元人民币;

(二)须提交申请书、合同、章程、工商行政管理部门颁发的合作各方营业执照复印件。

(三)符合上述条件的,由广电总局核准后,申请人持广电总局的核准文件到国家有关部门办理相关审批手续。

第六条 从事第三条、第五条规定的涉外业务的,还应按照国家有关法律、法规办理相关手续。

第七条 鼓励国有、非国有影视文化单位成立专营国产影片发行公司。申报条件及程序如下:

(一)注册资本不少于50万元人民币;

(二)受电影出品单位委托代理发行过两部电影片或受电视剧出品单位委托发行过两部电视剧;

(三)须提交申请书、工商行政管理部门颁发的营业执照复印件、已代理发行影视片的委托证明等材料。

(四)符合上述条件,向广电总局申请成立专营国产影片发行公司的,由广电总局颁发向全国发行国产影片的《电影发行经营许可证》;向当地省级电影行政部门申请成立专营国产影片发行公司的,由当地省级电影行政部门颁发本省的专营国产影片《电影发行经营许可证》。申请人持国产影片《电影发行经营许可证》到所在地工商行政管理部门办理相关手续。

第八条 依照本办法第七条规定取得专营国产影片《电影发行经营许可证》的公司,依《电影管理条例》享有与现有省级电影发行公司同等的权利和义务。

第九条 广电总局按照《关于发行放映国产影片的年度考核办法》,对取得《电影发行经营许可证》的公司进行年度考核。

第十条 允许电影院线公司以紧密型或松散型进行整合。鼓励以跨省院线为基础,按条条管理的原则重新整合。不允许按行政区域整体兼并院线。院线整合应当报广电总局审批。

(一)鼓励境内国有、非国有影视文化单位(外资除外)以参股、控股形式投资现有院线公司或单独组建院线公司。

1、以参股(股份在49%以下)形式投资现有院线公司的,参股单位必须在三年内投资不少于3000万元人民币,用于本院线中电影院的新建、改造;以控股形式投资现有院线公司的,控股单位必须在三年内投资不少于4000万元人民币,用于本院线中电影院的新建、改造。

2、单独组建省内或全国电影院线公司的,组建单位必须在三年内投资不少于5000万元人民币用于本院线中电影院的新建、改造。

3、组建院线公司应当按照广电总局关于成立电影院线的规定办理相关手续。组建省内院线公司的,由所在地省、自治区、直辖市人民政府电影行政部门审批,报广电总局备案;组建跨省院线公司的,由广电总局审批。

(二)鼓励国有、非国有单位及个人按照《电影管理条例》的规定在全国农村以多种方式经营电影发行、放映业务,在城市中的学校、社区以多种方式经营电影放映业务。

(三)鼓励国有、非国有单位及个人投资建设、改造电影院。经营电影放映业务,需报县级以上地方电影行政部门批准,到所在地工商行政管理部门办理相关手续。

第十一条 电影进口经营业务由广电总局批准的电影进口经营企业专营。进口影片全国发行业务由广电总局批准的具有进口影片全国发行权的发行公司发行。

第十二条 鼓励影片摄制单位多渠道出口取得《电影片公映许可证》的国产影片。鼓励电影制片单位参加国外电影节(展),参展影片应当取得《电影片公映许可证》,并应事先报广电总局备案。在境内举办中外电影展、国际电影节(展),应当报广电总局批准。

第十三条 广电总局颁发的《摄制电影许可证》、《电影发行经营许可证》实行隔年检验制度。地方电影行政管理部门按照其管理权限,对其颁发的《电影发行经营许可证》、《电影放映经营许可证》实行年检制度。

第十四条 本办法未作规定的,按照《电影管理条例》及有关规定执行。

第十五条 本规定自2003年12月1日起施行。
