Provisional Sino-foreign Joint Venture and Cooperative Radio and Television Programme Production Business Enterprise Management Regulations

Chapter I: General Provisions

Article 1: In order to stimulate the development of the Chinese radio and television programme production industry, standardize management over Sino-foreign joint venture and cooperative radio and television programme production enterprises, according to the provisions of the “Sino-Foreign Joint Venture Business Enterprise Law of the People’s Republic of China”, the “Sino-Foreign Cooperative Business Enterprise Law of the People’s Republic of China” and the “Radio and Television Management Regulations”, etc., these Regulations are formulated.

Article 2: These Regulations apply to all Sino-foreign joint venture and cooperative radio and television programme production business enterprises established and operating within the borders of the People’s Republic of China.

Article 3: Sino-foreign joint venture and cooperative radio and television programme production business enterprises as named in these Regulations, refers to enterprises (hereafter simply named “jointly operating enterprises”) established by a foreign specialist radio and television enterprises (hereafter simply named “foreign side”) together with a Chinese radio and television programme production organ and other domestic investors (hereafter simply named “Chinese side”) within Chinese borders through joint venture or cooperative means, to specially engage or to also engage in radio and television programme production and distribution work

Article 4: It is not permitted to establish wholly foreign invested radio and television programme production business enterprises.

Article 5: The State Administration of Radio, Film and Television and the Ministry of Commerce, according to the division of responsibilities, are jointly responsible for establishment examination and approval, and supervision and management work over jointly operating enterprises nationwide.

Provincial-level administrative radio, film and television entities are responsible for daily supervision and management work over jointly operating enterprises in their administrative areas.

Chapter II: Organ establishment

Article 6: Applications for establishment of a jointly operating enterprise shall meet the following conditions:

(1) conforming to State-formulated radio and television programme production sector development and distribution plans;

(2) both Chinese and foreign business sights have independent legal persons qualifications. Of those, the Chinese side shall have one organ holding a “Radio and Television Programme Production Business Permit or a “Television Drama Production Permit (Level A)”, the foreign side shall be a specialist radio and television enterprise;

(3) jointly operating enterprises are limited liability companies;

(4) a registered capital of no less than 2.000.000 U.S. Dollars or equal value in Renminbi; for establishment of a jointly operating enterprise specially producing cartoons, a registered capital of no less than 1.000.000 U.S. Dollars or equal value in Renminbi;

(5) the legal representative must be appointed by the Chinese side;

(6) one organ in the jointly operating enterprises’ Chinese side shall have no less than 51% of the shares of the jointly operating enterprise;

(7) all applying sides not having a record of breaking laws or violations, or other harmful records within three years before the date of application;

(8) jointly operating enterprises must have independent enterprise symbols.

Article 7: The Chinese side may put up capital through cash methods, and may also put up capital by valuation of using buildings, plants, machines and facilities or other materials, industrial property rights, special technologies, site use rights, etc. The foreign side must put up capital through the spot exchange method.

Article 8: For establishment of a jointly operating enterprise, the Chinese side controlling the shares puts forward an application with the State Administration of Radio, Film and Television and the Ministry of Commerce, which is handled according to the following procedure:

(1) The Chinese side puts forward an application with the provincial-level administrative radio, film and television entity of their locality, and after preliminary examination and agreement, the provincial-level arte reports it to the State Administration of Radio, Film and Television, the State Administration of Radio, Film and Television shall within 20 working days of receiving the complete documents, make a decision of approval or non-approval. To the approved, the State Administration of Radio, Film and Television shall issue approval documents; to those not approved; the reasons shall be explained in writing.

(2) The Chinese side shall report to the Ministry of Commerce through the provincial-level administrative commerce entity of their locality with the State Administration of Radio, Film and Television approval documents. The Ministry of Commerce shall within 20 working days of receiving the complete documents, make a decision of approval or non-approval. To those approved, a “Foreign-Invested Enterprise Approval Certificate” shall be issued; to those not approved, the reasons shall be explained in writing.

(3) The State Administration of Radio, Film and Television shall issue a “Radio and Television Programme Production Business Permit (Joint Operation)” to jointly operating enterprises having obtained a “Foreign-Invested Enterprise Approval Certificate”.

(4) Jointly operating enterprises shall with the “Radio and Television Programme Production Business Permit (Joint Operation)” and the “Foreign-Invested Enterprise Approval Certificate”, conduct industry and commerce registration formalities according to the law, and obtain an “Enterprise Legal Person Business Permit”.

Central work units and directly subordinate organs raise applications directly with the State Administration of Radio, Film and Television and the Ministry of Commerce.

Article 9: When applying for the establishment of a jointly operating enterprise, investors shall submit the following materials:

(1) application report. The report shall record the proposed jointly operating enterprise name, address, contact method, name of the legal representative; the cooperating sides’ background situation; jointly operating enterprise registered capital; the investment proportion and organizational structure of all cooperating sited; the concrete reasons, superiority and development plan, etc., concerning applying for jointly operating enterprise establishment;

(2) jointly operating enterprise contracts, and articles of association (in the contract must be agreed upon: programme themes, content are to be agreed with by the Chinese side);

(3) Chinese-side enterprises’ registration certification documents and the “Radio and Television Programme Production Business Permit” or the “Television Drama Production Permit (Level A)”;

(4) the Chinese side’s credit certification;

(5) foreign sides’ bank credit certification, lawful existence certification and certification of the foreign-side engaging in specialist radio and television work;

(6) identity certification of the legal representative and the main management personnel (board of directors members, general managers, assistant general managers, financial controllers);

(7) the advance approval notice from administrative industry and commerce entities for the proposed jointly operating enterprise name;

(8) samples of the jointly operating enterprise symbol.

Article 10: When changing the shareholding structure of already-established jointly operating enterprises, it shall conform to the provisions of Article 6 of these Regulations, and be reported to the Ministry of Commerce for approval, the Ministry of Commerce, after consultation with the State Administration of Radio, Film and Television, makes a decision of whether or not the change is approved.

Where change occurs in jointly operating enterprises’ legal representatives, address, etc. they establish branch organ or terminate radio and television programme production, it must be reported to the originally approving organ to conduct relevant formalities such as examination and approval, termination, etc.

Chapter III: Management

Article 11: Jointly operating enterprises must obey the laws, regulations and corresponding policies of the People’s Republic of China, their legitimate business activities and their lawful rights and interested are protected by the laws of the People’s Republic of China.

Article 12: Jointly operating enterprises may produce radio and television programmessuch as special topic, column, comprehensive arts and cartoon programmes, etc., but may not produce current political news and similar special topic and column programmes.

Jointly operating enterprises producing television dramas must obtain a separate “Television Drama Production Permit” according to relevant State Administration of Radio, Film and Television regulations.

Article 13: Jointly operating enterprises shall annually produce Chinese-theme radio and television programmesat a level of no less than 2/3 of the total production amount. The State encourages appointment of Chinese specialist personnel to participate in jointly operating enterprise programme production.

Article 14: Jointly operating enterprises are prohibited from producing and operating programmes having the following content:

(1) content that violates the basic principles of the Constitution;

(2) content that endangers the unity of the nation, sovereignty or territorial integrity;

(3) content that divulges secrets of the State, endangers national security or damages the honour or benefits of the State;

(4) content that incites ethnic hatred or discrimination, ethnic unity, or in-fringes upon ethnic customs and habits;

(5) content that propagates evil cults or superstition;

(6) content that disturbs the public order or destroys the public stability;

(7) content that propagates obscenity, gambling, violence or instigates crimes;

(8) content that insults or slanders others, or infringes upon the lawful rights and interests of others;

(9) content that endangers public ethics or excellent folk cultural traditions;

(10) other content prohibited by laws, regulations or State provisions.

Article 15: Jointly operating enterprises shall develop production business activities according to the business scope over which the “Radio and Television Programme Production Business Permit (Joint Operation)” was approved. The term of validity of the “Radio and Television Programme Production Business Permit (Joint Operation)” is 10 years, and may be extended upon expiry.

Article 16: Jointly operating enterprises enjoy equivalent rights and obligations as domestically invested radio and television programme production business organs. The radio and television programmesthey produced shall be considered as domestic programmes, and are managed according to relevant State regulations.

Where jointly operating enterprises produce in cooperation with other foreign organs or attract other foreign funding to produce radio and television programmes, it shall be managed according to State regulations relating to Sino-foreign co-produced programmes; domestic distribution of foreign radio and television programmes, shall be managed according to regulations relating to import of foreign programmes.

Article 17: The State encourages jointly operating enterprises to distribute abroad, sell abroad or act as export agent for all kinds of domestic radio and television programmes.

Article 18: Jointly operating enterprises may not entrust or retain foreign sides, foreign organs or other foreign investing enterprise to do business, and may not let foreign sides or other foreign organs, or other domestic foreign-invested enterprises to undertake business.

Article 19: It is prohibited to alter, rent or lend, sell or forge a jointly operating enterprise’s “Radio and Television Programme Production Business Permit (Joint Operation)” in any way.

Article 20: Jointly operating enterprises shall on their own initiative accept supervision and management by administrative radio, film and television entities, and shall file their annual programme production and distribution achievements with the State Administration of Radio, Film and Television before the 31st January of every year.

Chapter IV: Punitive provisions

Article 21: Those violating these Regulations, will be punished according to the “Sino-Foreign Joint Venture Business Enterprise Law of the People’s Republic of China”, the “Sino-Foreign Cooperative Business Enterprise Law of the People’s Republic of China” and the “Radio and Television Management Regulations”.. Where it constitutes a crime, criminal liability will be investigated according to the law.

Chapter V: Supplementary provisions

Article 22: Enterprises or other economic organizations from the Hong Kong SAR, Macau SAR of the region of Taiwan establishing joint venture or cooperative radio and television programme production business enterprises, shall be handled with reference to these Regulations.

Article 23: Interpretation of these Rules is the responsibility of the State Administration of Radio, Film and Television and the Ministry of Commerce

Article 24: These Regulations take effect on 28 November 2004.

中外合资、合作广播电视节目制作经营
企 业 管 理 暂 行 规 定

第一章 总  则

第一条 为促进中国广播电视节目制作产业发展,规范对中外合资、合作广播电视节目制作经营企业的管理,根据《中华人民共和国中外合资经营企业法》、《中华人民共和国中外合作经营企业法》和《广播电视管理条例》等规定,制定本规定。
第二条 凡在中华人民共和国境内设立、经营中外合资、合作广播电视节目制作经营企业,适用本规定。
第三条 本规定所称中外合资、合作广播电视节目制作经营企业, 是指境外专业广播电视企业(以下简称“外方”)与中国广播电视节目制作机构和境内其他投资者(以下简称“中方”)在中国境内合资、合作设立专门从事或兼营广播电视节目制作发行业务的企业(以下简称“合营企业”)。
第四条 不得设立外商独资广播电视节目制作经营企业。
第五条 国家广播电影电视总局、商务部根据职责分工,共同负责全国合营企业的设立审批和监督管理工作。
省级广播电视行政部门负责本行政区域内合营企业的日常监督管理工作。

第二章 机构设立

第六条 申请设立合营企业应当符合下列条件:
(一)符合国家制定的广播电视节目制作业的发展布局规划;
(二)中外合营各方均具有独立法人资格。其中,中方应有1家为持有《广播电视节目制作经营许可证》或《电视剧制作许可证(甲种)》的机构。外方应为专业广播电视企业;
(三)合营企业为有限责任公司;
(四)注册资金不少于200万美元或等值人民币;设立专门制作动画片的合营企业,注册资金不少于100万美元或等值人民币;
(五)法定代表人须由中方委派;
(六)合营企业中的中方1家机构应在合营企业中拥有不低于51%的股份;
(七)申请各方在申请之日前的3年内,无违法违规和其他不良记录;
(八)合营企业须具有独立的企业标志。
第七条 中方可以以现金方式出资,也可以用建筑物、厂房、机器设备或其他物料、工业产权、专有技术、场地使用权等作价出资。外方须以现汇方式出资。
第八条 设立合营企业,由控股的中方向国家广播电影电视总局和商务部提出申请,并按照下列程序办理:
(一)中方向所在地省级广播电视行政部门提出申请,经初审同意后,由省级广播电视行政部门报国家广播电影电视总局,国家广播电影电视总局自收到全部文件之日起,在20个工作日内做出批准或不批准的决定。经批准的,由国家广播电影电视总局核发批准文件;不予批准的;书面说明理由。
(二)中方持国家广播电影电视总局批准文件经所在地省级商务行政部门报商务部审批。商务部自收到全部文件之日起,在20个工作日内做出批准或不予批准的决定。经批准的,颁发《外商投资企业批准证书》;不予批准的,书面说明理由。
(三)国家广播电影电视总局对取得《外商投资企业批准证书》的合营企业,核发《广播电视节目制作经营许可证(合营)》。
(四)合营企业凭《广播电视节目制作经营许可证(合营)》和《外商投资企业批准证书》,依法办理工商注册登记手续,领取《企业法人营业执照》。
中央单位及其直属机构直接向国家广播电影电视总局、商务部提出申请。
第九条 申请设立合营企业时,投资者应当提交下列材料:
(一)申请报告。报告应当载明拟设立的合营企业名称、地址、联系方式、法定代表人姓名;合作各方的背景概况;合营企业的注册资金;合作各方的出资比例、组织结构;申请设立合营企业的具体理由、优势和发展计划等;
(二)合营企业合同、章程(其中合同中须约定:节目选题、内容应经中方同意);
(三)中方企业的注册登记证明文件和《广播电视节目制作经营许可证》或《电视剧制作许可证(甲种)》;
(四)中方资信证明;
(五)外方的银行资信证明、合法存续证明和外方从事专业广播电视业务的证明;
(六)法定代表人和主要管理成员(董事会成员、总经理、副总经理、财务负责人)的身份证明;
(七)工商行政部门对拟设立的合营企业名称预先核准通知书;
(八)合营企业的企业标志样本。
第十条 已设立的合营企业变更股权时,应符合本规定第六条规定,并报商务部审批,商务部经商国家广播电影电视总局后,做出是否同意变更的决定。
合营企业法定代表人、地址等发生变更,设立分支机构或终止广播电视节目制作经营业务,报原批准机关办理相应审批、注销等手续。

第三章 管  理

第十一条 合营企业必须遵守中华人民共和国有关法律、法规和相关政策,其正当经营活动及其合法权益受中华人民共和国法律保护。
第十二条 合营企业可以制作专题、专栏、综艺、动画片等广播电视节目,但不得制作时政新闻和同类的专题、专栏节目。
合营企业制作电视剧须按国家广播电影电视总局有关规定另行申领《电视剧制作许可证》。
第十三条 合营企业每年应当制作不少于节目总量2/3的中国题材的广播电视节目。国家鼓励聘用中国专业人员参与合营企业的节目制作。
第十四条 合营企业严禁制作、经营含有下列内容的节目:
(一)反对宪法确定的基本原则的;
(二)危害国家统一、主权和领土完整的;
(三)泄露国家秘密、危害国家安全或者损害国家荣誉和利益的;
(四)煽动民族仇恨、民族歧视,破坏民族团结,或者侵害民族风俗、习惯的;
(五)宣扬邪教、迷信的;
(六)扰乱社会秩序,破坏社会稳定的;
(七)宣扬淫秽、赌博、暴力或者教唆犯罪的;
(八)侮辱或者诽谤他人,侵害他人合法权益的;
(九)危害社会公德或者民族优秀文化传统的;
(十)有法律、行政法规和国家规定禁止的其他内容的。
第十五条 合营企业应严格按照《广播电视节目制作经营许可证(合营)》核准的业务范围开展制作经营活动。《广播电视节目制作经营许可证(合营)》有效期限为10年,届满可申请延长。
第十六条 合营企业享有与内资广播电视节目制作经营机构同等的权利和义务。其制作的广播电视节目,视同国产节目,按国家有关规定管理。
合营企业与境外其他机构合作制作或吸纳境外其他资金制作的广播电视节目,按国家有关中外合作制作节目规定管理;在国内发行境外广播电视节目,按有关引进境外节目规定管理。
第十七条 国家鼓励合营企业向境外发行、销售或代理出口各类国产广播电视节目。
第十八条合营企业不得委托或租赁给外方、境外机构或在境内的其他外商投资企业经营,不得让外方或其他境外机构、境内的其他外商投资企业承包经营。
第十九条 禁止以任何方式涂改、租借、出售和伪造合营企业的《广播电视节目制作经营许可证(合营)》。
第二十条 合营企业应自觉接受广播电视行政部门的监督管理,并在每年1月31日前将其前1年度的节目制作、发行业绩向国家广播电影电视总局备案。

第四章 罚  则

第二十一条 对违反本规定的,依照《中华人民共和国中外合资经营企业法》、《中华人民共和国中外合作经营企业法》及《广播电视管理条例》进行处罚。构成犯罪的,依法追究刑事责任。

第五章 附  则

第二十二条 香港特别行政区、澳门特别行政区和台湾地区的企业或其他经济组织与境内机构合资、合作设立广播电视节目制作经营企业的,参照本规定办理。
第二十三条 本规定由国家广播电影电视总局和商务部负责解释。
第二十四条 本规定自2004年11月28日起施行。
