The “Audiovisual Products Wholesale, Retail and Rental Management Rules” were deliberated and passed on the Ministry of Culture executive meeting on 25 October 2006, are hereby promulgated, and take effect on 1 December 2006.

Audiovisual Products Wholesale, Retail and Rental Management Rules

Chapter 1: General Provisions

Article 1: In order to strengthen audiovisual products wholesale, retail and rental management, stimulate the development and prospering of the audiovisual sector, enrich the cultural life of the masses, stimulate the construction of a socialist material civilization and spiritual civilization, according to the relevant provisions of the “Audiovisual Products Management Regulations”, these Rules are formulated.

Article 2: These Rules apply to activities such as wholesale, retail, rental, etc., of audiovisual products such as audiotapes, videotapes, records, laser discs and laser compact discs, etc., recorded with content.

Article 3: Those engaging in audiovisual products wholesale, retail and rental shall observe the Constitution and relevant laws and regulations, persist in the orientation of serving the people and serving socialism, disseminate thoughts, morals, science and technology and cultural knowledge beneficial to economic development and social progress.

Article 4: The State prohibits dealing in audiovisual products containing the following content:

(1) content contradicting the basic principles determined in the Constitution;

(2) content endangering the unity of the nation, sovereignty or territorial integrity;

(3) content that divulging State provisions, endangers national security or damages State  honour or interests;

(4) content that incites ethnic hatred or discrimination, undermines the solidarity of the ethnicities, or infringes upon ethnic customs and habits;

(5) content that propagates evil cults or superstition;

(6) content that disturbs public order or destroys public stability;

(7) content that propagates obscenity, gambling, violence or instigates crimes;

(8) content that insults or slanders others, or infringes upon the lawful rights and interests of others;

(9) content that endangers public ethics or excellent folk cultural traditions;

(10) other content prohibited by laws, regulations or State provisions.

Article 5: The Ministry of Culture is responsible for audiovisual products wholesale, retail and rental supervision and management work in the entire country. Country-level and higher local People’s Government aces are responsible for audiovisual products wholesale, retail and rental supervision and management work in their administrative area.

Article 6: The State implements a audiovisual products wholesale, retail and rental activities permit system; without permission, any work unit and individual may not engage in audiovisual products wholesale, retail and rental activities.

Permits and approval documents issued according to these Rules, may not be altered, resold, rented, lent or transferred in any other way.

Article 7: The Ministry of Culture is responsible of audiovisual market development planning in the entire country, and the macroeconomic planning of the audiovisual market of the entire country.

Provincial, autonomous region and municipal People’s Government aces , according to the national audiovisual market development planning and the local economic and social development conditions, formulate audiovisual market development planning for that locality, and guide the healthy development of the audiovisual market in that area.

Article 8: The State encourages and supports audiovisual product business work units to distribute domestically produced audiovisual products; the State encourages and supports audiovisual product business work units to establish distribution networks in the countryside, to sell audiovisual products.

Article 9: Aces and their personnel may not engage in or covertly engage in audiovisual products wholesale, retail and rental activities, and may not participate or covertly participate in audiovisual products wholesale, retail and rental work units’ business activities.

Chapter 2: Business Work Units

Article 10: Establishment of an audiovisual products wholesale work unit, shall be applied for with the provincial, autonomous region or municipal People’s Government administrative culture entity for approval, and the following materials shall be submitted:

(1) An application letter, clearly indicating the audiovisual products wholesale work unit’s name and address, name and address of the legal representative or main persons in charge, as well as the main application items;

(2) the Advance Name Approval Notification Letter and articles of association;

(3) registered capital amount and certification documents;

(4) business premises property rights certification or rental letter of intent;

(5) the identification materials of the legal representative or main persons in charge;

(6) certification documents for the organizational structure and personnel adapted to the needs of the business scope;

(7) other materials provided for in laws and administrative regulations.

Administrative cultural entities shall within 30 days after receiving an application, make a decision on approval or non-approval. Those approved, shall be issued an “Audiovisual Products Business Permit” and shall report to the Ministry of Culture for filing, the applicant shall go to the administrative industry and culture management entity to register with the “Audiovisual Products Business Permit”, and obtain a business permit according to the law, for those not approved, the reasons shall be stated.

Article 11: Establishment of an audiovisual products retail or rental work unit, or individually applications for engaging in audiovisual products retail or rental work, shall be applied for with the local county-level People’s Government administrative culture entity for approval, and the following materials shall be submitted:

(1) an application letter, clearly stating the applying work unit’s name or the individual’s business number, address, legal representative or main responsible persons’ name, address as well as the main application items;

(2) the Advance Name Approval Notification Letter and articles of association;

(3) business premises property rights certification or rental letter of intent;

(4) the identification materials of the legal representative or main persons in charge;

(5)other materials provided for in laws and administrative regulations.

Aces shall within 30 days  after receiving an application, make a decision on approval or non-approval. Those approved, shall be issued an “Audiovisual Products Business Permit” and shall report to the People’s Government administrative culture entity of one level higher for filing, the applicant shall go to the administrative industry and culture management entity to register with the “Audiovisual Products Business Permit”, and obtain a business permit according to the law, for those not approved, the reasons shall be stated.

Audiovisual products wholesale work unit approved for establishment may engage in audiovisual products retail and rental work in the originally approved wholesale business premises.

Article 12: Audiovisual production work units may according to relevant State regulations, wholesale and retail audiovisual products published by that work unit. Those engaging in wholesale and retail work of audiovisual products not produced by that work unit, shall conduct examination, approval and registration formalities according to Article 10 and Article 11 of these Regulations.

Article 13: Foe establishment of an audiovisual products chain business work unit, the following conditions shall be met:

(1) having a fixed name and articles of association;

(2) having a fixed business scope;

(3) a registered capital of no less than 1.000.000 Yuan, of those engaging in nationwide chain business, a registered capital of no less than 5.000.000 Yuan;

(4) planning to develop more than 5 audiovisual products business chain stores or more than 10 special chain business counters;

(5) having an organizational structure and personnel adapted to the needs of the business scope;

(6) meeting a corresponding management system and computer management conditions;

(7) other conditions as provided in laws and administrative regulations.

Article 14: Applications for establishment of an audiovisual products chain business work unit, shall be filed with the provincial, administrative region or municipal People’s Government administrative culture entity for examination and approval; applications for establishment of a nationwide audiovisual products chain business unit, shall, after examination, verification and agreement of the provincial, administrative region or municipal People’s Government administrative culture entity of the location of its headquarters, be reported to the Ministry of Culture for filing.

Applying work units shall submit the following materials:

(1) An application letter, clearly indicating the applying work unit’s name and address, name and address of the legal representative or main persons in charge, as well as the main application items;

(2) the Advance Name Approval Notification Letter and articles of association;

(3) registered capital amount and certification documents;

(4) the chain business work unit’s headquarters’ business premises property rights certification or rental letter of intent;

(5) the chain business work unit’s identification materials of the legal representative or main persons in charge;

(6) the audiovisual products chain business work unit’s organizational mechanisms, delivery mechanisms and delivery management system, etc., situation.

(7) meeting a corresponding management system and computer management conditions;

(8) other conditions as provided in laws and administrative regulations.

Aces shall within 30 days  after receiving an application, make a decision on approval or non-approval. Those approved, shall be issued an “Audiovisual Products Business Permit” and shall report to the People’s Government administrative culture entity of one level higher for filing, the applicant shall go to the administrative industry and culture management entity to register with the “Audiovisual Products Business Permit”, and obtain a business permit according to the law, for those not approved, the reasons shall be stated.

Without undergoing examination and approval, and registration, the phrase “chain” ay not be used in the work unit’s name, and audiovisual products wholesale, retail and rental business activities may not be conducted in a chain manner.

Article 15: Audiovisual products chain business work units may adopt the business methods of direct running chain and franchise chain. Those adopting the franchise chain method, shall have more than one year of experience in engaging in direct running chain, and report to the original approving entity for examination and approval.

Direct running chain, refers to chain stores all being completely invested or held by the headquarters, and are run in a unified way under the direct management of the headquarters.

Franchise chain, refers to chain stores being established with the participation of the headquarters in the investment or without investment relation with the chain headquarters, through signing a contract with a headquarters, obtaining permission to use the headquarters’ trademark, name, business technology and selling the headquarters’ products.

The audiovisual products chain business work units’ delivery centre as well as direct running chain store name shall use a mark out of the name of the headquarters. Franchise chain stores, with agreement of the headquarters, may also use a mark out of the name of the headquarters.

Article 16: Audiovisual products chain business work units approved for establishment opening direct running chain stores or establishing chain business counters must not individually handle the “Audiovisual Products Business Permit”, and may, after filing with the county-level or higher People’s government administrative culture entity of the locality of the store with a copy of the “Audiovisual Products Business Permit” issued by the chain business work unit headquarters, go to the administrative industry and culture management entity to obtain a business licence according to the law.

For audiovisual products chain business work units approved for establishment opening franchise chain stores, chain stores must handle examination and approval formalities according to the relevant provisions of Article 11 of these Rules, those already having an “Audiovisual Products Business Permit”, conduct modification formalities according to relevant regulations.

Article 17: Applications for establishment of a work unit engaging in audiovisual product business work through an information network, will conduct examination and approval formalities with reference to the relevant provisions of Article 10 of these Rules, and report the website of that work unit or the linked website’s circumstances such as name, address and e-mail address, with the provincial, administrative region or municipal People’s government administrative culture entity of their locality for filing.

Article 18: Audiovisual products wholesale and chain business work units may engage in audiovisual products business work through the Internet, but shall prepare materials such as the “Audiovisual Products Business Permit” of that work unit, website or linked website name, e-mail address, etc, and only after reporting to the provincial, administrative region or municipal People’s Government administrative culture entity for filing, may conduct business.

Article 19: Applicants applying to engage in audiovisual products wholesale, retail and rental work, shall according to the facts, submit relevant materials to administrative organs, and are responsible for the truthfulness of the application materials.

Article 20: Audiovisual products wholesale, retail and rental chain business work units or work units engaging in audiovisual products business work through the Internet, or individuals engaging in audiovisual products retail and rental work,  examined and approved for establishment by aces shall make the approval documents public, the public has authority to examine them.

Chapter 3: Business and management

Article 21: Work units or individuals engaging in audiovisual products wholesale, retail and rental work, may not deal in the following audiovisual products:

(1) audiovisual products published by non-audiovisual publication work units or audiovisual products unlawfully published by audiovisual publication work units;

(2) audiovisual products duplicated by non-audiovisual duplication work units or audiovisual products unlawfully duplicated by audiovisual duplication work units;

(3) audiovisual products not approved for import by the Ministry of Culture;

(4) imported audiovisual products for research or education reference or used for exhibitions and expos;

(5) audiovisual products infringing others’ copyright;

(6) other unlawful audiovisual products.

Article 22: Work units or individuals engaging in audiovisual products wholesale, retail and rental work shall buy stock from audiovisual publication and duplication work units. Audiovisual publication and duplication wholesaling audiovisual products, shall furnish proof of delivery according to relevant State regulations; delivery work units or stock buying work units shall within 2 years of delivery of the goods, keep delivery and stock buying proof and corresponding receipt materials, to prepare for inspection.

Audiovisual products retail work units and individuals engaging in audiovisual products retail work selling audiovisual products, shall write out an invoice or receipt, and clearly indicate the audiovisual product name, price and sum of money. Audiovisual product rental work units and individual engaging in audiovisual product rental work shall register items such as the time, name and quantity, etc., of the rented audiovisual product.

Article 23: Audiovisual products published by audiovisual publication work units and audiovisual products imported by audiovisual product finished products import work units shall be affixed with a Ministry of Culture supervised audiovisual product anti-counterfeit sign.

Article 24: Audiovisual products wholesale, retail and rental work units and individuals engaging in audiovisual products retail and rental work shall hang the “Audiovisual Products Business Permit” in a prominent position in their business premises.

Audiovisual direct running chain stores or chain business counters shall hang a copy of the “Audiovisual Products Business Permit” in a prominent position in their business premises.

Article 25: Work units engaging in audiovisual products business work through an information network, shall indicate the audiovisual products business permit number and issuing entity on their website or web page; the audiovisual products dealt in shall indicate the name, publication work unit, China standard audiovisual product number; those considered imported audiovisual products, shall simultaneously indicate the import approval document number.

Article 26: Audiovisual product wholesale and chain work units shall within 30 days of issuance of the “Audiovisual Products Business Permit” report matters such as the concrete address, managing personnel and contact information, etc., of that work unit’s audiovisual products storage or distribution centre to the approving administrative culture entity for registration an filing. Where there is a change of situation in the concrete address, managing personnel and contact information, etc., it shall be reported within 15 days after the change to the approving administrative culture entity for filing.

Article 27: Any work unit and individual may not consign, send by mail, transport or stockpile audiovisual products prohibited for business by the provisions of Article 4 of these Rules and not allowed for business under the provisions of Article 21 of these Rules, or provide facilitating conditions such as supplying premises, representation, etc., for audiovisual products prohibited for business by the provisions of Article 4 of these Rules and not allowed for business under the provisions of Article 21 of these Rules.

Article 28: County-level or higher People’s Government aces shall according to relevant State regulations, strengthen supervision and management over expositional activities such as audiovisual products display, exhibition and sale, order, etc.

Article 29: County-level or higher People’s Government aces may accept applications for appraising whether or not audiovisual products are lawful.

The applicant shall raise a written application with the county-level or higher People’s Government ace, submit materials such as audiovisual product samples and receipts, etc., fill out an audiovisual product appraisal form; the letter of application shall clearly state the audiovisual product’s source, name, quantity, date and place of acquisition, and submit appraisal goals and requests. Where aces accept an audiovisual product appraisal request, it shall appoint 2 or more personnel proficient in appraisal work to undertake appraisal work, and within 10 days of accepting the application, make an audiovisual product appraisal conclusion, and issue an audiovisual product appraisal letter.

Audiovisual product appraisal letters shall clearly state important characteristics such as the name, carrier, publication and distribution work unit, China standard audiovisual product number, laser digital storage disc source identification code, audiovisual product anti-counterfeit sign, etc., of the audiovisual product of which appraisal is applied for, the applicant’s name, address, valid credentials and contact details, as well as appraisal results, etc. Where the parties object to the appraisal result, they may within 15 days of receiving the appraisal letter submit it to a higher-level administrative culture entity to conduct re-examination, the higher-level administrative culture entity shall within 15 days of receiving the re-examination letter, issue a written re-examination conclusion.

Article 30: Where audiovisual products wholesale, retail and rental and chain business work units change name, business scope or merge with other audiovisual products wholesale, retail and rental and chain business units, or establish a new audiovisual products wholesale, retail and rental or chain business work unit because of merger or separation, they shall, according to the relevant provisions of the “Audiovisual Products Management Regulations”, these Rules and on enterprise registration management, conduct examination, approval and registration formalities.

Where audiovisual products wholesale, retail and rental and chain business work units change address, legal representative or main persons in charge, or cease business activities, and individuals engaging in audiovisual product retail and rental work changing business scope, address or cease business activities, they shall go to the administrative industry and culture management entity of original registration to conduct registration modification or registration cancellation, and within 30 days of registration shall file with the originally approving administrative culture entity. But, where change of address exceeds the jurisdictional scope of the originally licensing organ, according to the provisions of the previous Paragraph, examination, approval and registration formalities shall be conducted.

Article 31: County-level or higher local People’s Government aces shall strengthen training of audiovisual products wholesale, retail and rental work units’ engaged personnel, raise engaged personnel’s grasp of audiovisual market regulations and policies and their ability to distinguish unlawful audiovisual products.

Chapter 4: Legal liability

Article 32: Where aces and personnel, use privileges of their post to receive property from others or other benefits, and approve establishment of audiovisual products wholesale, retail and rental work units not conforming to the statutory establishment conditions, or do not fulfil their supervision duties, or do not investigate discovered unlawful activities, creating grave consequences, shall, according to the provisions of the Criminal Law relating to the crime of accepting bribes, the crime of abusing power, the crime of dereliction of duty or other crimes, be investigated for criminal liability of the responsible person in charge or other directly responsible persons; where it is not yet enough to constitute a crime, the administrative punishments of demotion or dismissal shall be imposed.

Article 33: Where personnel of aces engage or covertly engage in audiovisual products wholesale, retail and rental business activities, participate or covertly participate in audiovisual products wholesale, retail and rental work units’ business activities, the administrative punishments of demotion or dismissal shall be imposed according to the law. Where aces have one of the activities listed in the previous Paragraph, the responsible person in charge or other directly responsible persons will be punished according to the provisions of the preceding Paragraph.

Article 34: Where work units or individuals engaging in audiovisual products wholesale, retail and rental work or dealing in audiovisual products with content prohibited by Article 4 of these Rules knowingly or where they should know, the aces or law-enforcement organs authorized by the law shall order cessation of business for rectification, confiscate the illegally traded audiovisual products and unlawful gains; where the unlawful business volume is 10.000 Yuan or higher, a fine of higher than five times but lower than 10 times the unlawful business volume shall additionally be imposed; where the unlawful income does not meet 10.000 Yuan, a fine of lower than 5 times the unlawful business income may additionally be imposed; where circumstances are grave, the permits shall additionally be cancelled; where a crime is suspected, it shall be transmitted to judiciary authorities according to relevant regulations and criminal liability shall be investigated.

Article 35: Where work units or individuals engaging in audiovisual products wholesale, retail and rental work change names or marks, address, legal representative or main persons in charge, business scope, etc., and do not conduct examination and approval or filing formalities according to these Rules, the aces or law-enforcement organs authorized by the law shall order rectification, and issue a warning; where circumstances are grave, they may additionally order cessation of business for rectification or cancellation of permits.

Article 36: To those having one of the following activities,  the aces or the law-enforcement organs approved by the law shall order to cease unlawful activities, issue a warning, confiscate unlawfully traded audiovisual products and unlawful gains ; where the unlawful business volume is 10.000 Yuan or higher, a fine of higher than five times but lower than 10 times the unlawful business volume shall additionally be imposed; where the unlawful income does not meet 10.000 Yuan, a fine of lower than 5 times the unlawful business income may additionally be imposed, where circumstances are grave, they may additionally order cessation of business for rectification or cancellation of permits; where a crime is suspected, it shall be transmitted to judiciary authorities according to relevant regulations and criminal liability shall be investigated:

(1) those handling audiovisual products published by non-audiovisual publication work units or unlawfully published by audiovisual publication work units;

(2) those handling audiovisual products duplicated by non-audiovisual duplication work units or unlawfully duplicated by audiovisual duplication work units;

(3) those handling audiovisual products not approved for import by the Ministry of Culture;

(4) those handling imported audiovisual products provided for research and education reference or used for exhibitions or exposition;

(5) those handing other unlawful audiovisual products.

Article 37: Those having one of the following circumstances, are to be considered as having grave circumstances as named in Article 34, Article 35 and Article 36 of these Rules:

(1) those violating the provisions of the “Audiovisual Product Management Regulations” or these Rules, and within two years receive an administrative culture entity administrative punishment twice, and again violating the provisions of the “Audiovisual Product Management Regulations” or these Rules;

(2) those that trade without authorization during a period of business cessation for rectification;

(3) those that trade audiovisual products with content prohibited by Article 4 of these Rules knowingly or where they should know, causing grave societal influence;

(4) those trading in more than 100 discs of audiovisual product, which is not allowed for business according to Article 21 of, these Rules;

(5) where other grave unlawful circumstances are present.

Article 38: Those that consign, send by mail, transport or stockpile audiovisual products prohibited for business by the provisions of Article 4 of these Rules and not allowed for business under the provisions of Article 21 of these Rules, or provide beneficial conditions for the business in abovementioned audiovisual products such as premises, acting as proxy, etc., the aces or law-enforcement organs authorized by law shall confiscate abovementioned audiovisual products, and according to relevant laws and regulations, punish the person responsible; where a crime is suspected,  it shall be transmitted to judiciary authorities according to relevant regulations and criminal liability shall be investigated.

Article 39: To, in violation of the provisions of these Rules, altering, selling, renting, lending or in other manners illegally transferring permits and approval documents issued according to these Rules, the aces or law-enforcement organs authorized by the law shall order cessation of the unlawful activities, and issue a warning or impose a fine of more than 10.000 Yuan but less than 30.000 Yuan.

Article 40: To audiovisual publication and wholesale work units when wholesaling audiovisual products not furnishing proof of delivery according to relevant State provisions; delivery work units or stock buying work units not having preserved for 2 years from the date of delivery or stock buying, the delivery and stock buying proofs and corresponding receipt materials, the aces or law-enforcement organs authorized by the law shall issue a warning or a fine of less than 5.000 Yuan. To audiovisual products retail work units or individuals engaging in audiovisual products retail work, when selling audiovisual products not issuing a receipt or invoice, audiovisual products rental work units and individuals engaging in audiovisual products rental work not registering items such as the date, title, quantity, etc., of the rented audiovisual product, the aces or law-enforcement organs authorized by the law shall impose a warning or a fine of 3.000 Yuan or less.

Article 41: To audiovisual products published by audiovisual publication work units  and audiovisual products imported by finished audiovisual products import work units, not being affixed with the Ministry of Culture-supervised audiovisual products anti-counterfeit sign, the aces or law-enforcement organs authorized by the law shall impose a warning or a fine of 10.000 Yuan or less.

Article 42: To audiovisual products wholesale, retail and rental work units and individuals engaging in audiovisual products retail and rental that do not have the “Audiovisual Products Business Permit” hanging in a prominent position in their business premises; audiovisual direct running chain stores or chain business counters that do not have a copy of the “Audiovisual Products Business Permit” hanging in a prominent position in their business premises, the aces or law-enforcement organs authorized by the law shall impose a warning or a fine of 3.000 Yuan or less.

Article 43: To work units engaging in audiovisual products business work through an information network, and do not indicate the audiovisual products business permit number and issuing entity on their website or web page; the audiovisual products dealt in shall indicate the name, publication work unit, China standard audiovisual product number; and, to those considered imported audiovisual products, do not simultaneously indicate the import approval document number, the aces or law-enforcement organs authorized by the law shall impose a warning or a fine of 3.000 Yuan or less.

Article 44: To applicants applying for engaging in audiovisual products wholesale, retail and rental work, using improper methods such as cheating, bribing, etc., to obtain administrative permits, the aces may cancel administrative permits according to the law, issue a warning or impose a fine of 10.000 Yuan or less.

Article 45: Of those work units of which permits have been cancelled, the legal representatives or main persons in charge may not undertake the position of audiovisual products wholesale, retail and rental work unit legal representative or main person in charge within 10 years of cancellation of permits. Individuals engaged in audiovisual products rental and retail of which permits have been cancelled, may not engage in audiovisual products retail or rental work within 10 years of cancellation of permits.

Article 46: Those engaging in wholesale, retail and rental of audiovisual products prohibited for business by the provisions of Article 4 of these Rules and not allowed for business under the provisions of Article 21 of these Rules, where the party provides explanation or identification of the source of unlawful audiovisual products, which is examined to be true, unlawful audiovisual products and unlawful gains will be confiscated, but other administrative punishment may be mitigated or remitted.

Article 47: Aces and other law-enforcement organs authorized by the law shall establish an administrative punishment announcement system, for the convenience of public consultation.

Chapter 5: Supplementary provisions

Article 48: The “Audiovisual Products Business Permit” is printed in a unified way by the provincial, administrative region or municipal People’s Government administrative culture entity according to Ministry of Culture-provided examples. Permits are divided in original copies and duplicate copies. The original copy is made to be hung up, the duplicates are made to be folded.

Article 49: Wholesale as named in these Rules, refers to activities selling audiovisual products to work units or individuals engaging in audiovisual products business work.

Retail as named in these Rules, refers to activities of selling audiovisual products to consumers.

Rental as named in these Rules, refers to activities of renting audiovisual products to consumers.

Business premises as named in these Rules, refers to, includes sale, office and stockpile premises.

Article 50: Where laws, regulations and rules have other provisions concerning the management of Sino-foreign audiovisual products retail enterprises, audiovisual products import and commercial audiovisual products projection activities, those provisions will be followed.

Article 51: The interpretation of these Rules is the responsibility of the Ministry of Culture.

Article 52: These Rules take effect on 1 December 1006. The “Audiovisual Products Wholesale, Retail and Rental Management Rules”, promulgated by the Ministry of Culture on 5 March 2002 and amended on 2 June 2004, are simultaneously abolished.

《音像制品批发、零售、出租管理办法》已经2006年10月25日文化部部务会议审议通过,现予发布,自2006年12月1日起施行。

第一章  总则

第一条  为了加强音像制品批发、零售、出租的管理,促进音像事业的发展和繁荣,丰富人民群众的文化生活,促进社会主义物质文明和精神文明建设,根据《音像制品管理条例》的有关规定,制定本办法。

第二条  本办法适用于录有内容的录音带、录像带、唱片、激光唱盘和激光视盘等音像制品的批发、零售和出租等活动。

第三条  从事音像制品批发、零售、出租,应当遵守宪法和有关法律、法规,坚持为人民服务和为社会主义服务的方向,传播有益于经济发展和社会进步的思想、道德、科学技术和文化知识。

第四条  国家禁止经营载有下列内容的音像制品:

(一)反对宪法确定的基本原则的;

(二)危害国家统一、主权和领土完整的;

(三)泄露国家秘密、危害国家安全或者损害国家荣誉和利益的;

(四)煽动民族仇恨、民族歧视,破坏民族团结,或者侵害民族风俗、习惯的;

(五)宣扬邪教、封建迷信的;

(六)扰乱社会秩序,破坏社会稳定的;

(七)宣扬淫秽、赌博、暴力或者教唆犯罪的;

(八)侮辱或者诽谤他人,侵害他人合法权益的;

(九)危害社会公德或者民族优秀文化传统的;

(十)有法律、行政法规和国家规定禁止的其他内容的。

第五条  文化部负责全国音像制品批发、零售、出租的监督管理工作。

县级以上地方人民政府文化行政部门负责本行政区域内音像制品批发、零售、出租的监督管理工作。

第六条  国家对音像制品批发、零售、出租活动实行许可制度;未经许可,任何单位和个人不得从事音像制品批发、零售、出租活动。

依照本办法发放的许可证和批准文件,不得涂改、倒卖、出租、出借或者以其他形式非法转让。

第七条  文化部负责制定全国音像市场发展规划,宏观调控全国音像市场。

省、自治区、直辖市人民政府文化行政部门根据全国音像市场发展规划和本地区经济社会发展情况,制定本地区的音像市场发展规划,引导本地区音像市场健康发展。

第八条  国家鼓励和支持音像制品经营单位发行国产音像制品;国家鼓励和支持音像制品经营单位在农村建立发行网络,销售音像制品。

第九条  文化行政部门及其工作人员不得从事或者变相从事音像制品批发、零售、出租活动,并不得参与或者变相参与音像制品批发、零售、出租单位的经营活动。

第二章  经营单位

第十条  申请设立音像制品批发单位,应当报所在地省、自治区、直辖市人民政府文化行政部门审批,并提交下列材料:

(一)申请书,载明音像制品批发单位的名称、地址、法定代表人或者主要负责人的姓名、住址以及申请的主要事项;

(二)名称预先核准通知书和章程;

(三)注册资本数额及其证明文件;

(四)经营场所产权证明或者租赁意向书;

(五)法定代表人或者主要负责人的身份证明材料;

(六)适应业务范围需要的组织机构和人员的证明材料;

(七)法律、行政法规规定的其他材料。

文化行政部门应当自受理申请之日起30日内作出批准或者不批准的决定。批准的,应当发给《音像制品经营许可证》并报文化部备案,由申请人持《音像制品经营许可证》到工商行政管理部门登记,依法领取营业执照;不批准的,应当说明理由。

第十一条  设立音像制品零售、出租单位或者个人申请从事音像制品零售、出租业务,应当报所在地县级人民政府文化行政部门审批,并提交下列材料:

(一)申请书,载明申请单位的名称或者个人的经营字号、地址、法定代表人或者主要负责人的姓名、住址以及申请的主要事项;

(二)名称预先核准通知书和章程;

(三)经营场所产权证明或者租赁意向书;

(四)法定代表人或者主要负责人的身份证明材料;

(五)法律、行政法规规定的其他材料。

文化行政部门应当自受理申请之日起30日内作出批准或者不批准的决定。批准的,应当发给《音像制品经营许可证》并报上一级地方人民政府文化行政部门备案,由申请人持《音像制品经营许可证》到工商行政管理部门登记,依法领取营业执照;不批准的,应当说明理由。

经批准设立的音像制品批发单位可以在原批准的批发经营场所从事音像制品零售、出租业务。

第十二条  音像制品出版单位可以按照国家有关规定批发、零售本单位出版的音像制品。从事非本单位出版的音像制品批发、零售业务的,应当依照本办法第十条、第十一条的规定办理审批登记手续。

第十三条  设立音像制品连锁经营单位,应当具备下列条件:

(一)有确定的名称、章程;

(二)有确定的业务范围;

(三) 注册资本不低于100万元,其中从事全国性连锁经营的,注册资本不低于500万元;

(四)规划发展5个以上音像制品直营连锁门店或者10个以上连锁专设经营柜台;

(五)有适应业务范围需要的组织机构和人员;

(六)具备相应的管理制度和计算机管理条件;

(七)法律、行政法规规定的其他条件。

第十四条  申请设立音像制品连锁经营单位,应当报所在地省、自治区、直辖市人民政府文化行政部门审批;申请设立全国性音像制品连锁经营单位,应当由其总部所在地省、自治区、直辖市人民政府文化行政部门审核同意后,报文化部审批。

申请单位应当提交下列材料:

(一)申请书,载明申请单位的名称、地址、法定代表人或者主要负责人的姓名、住址以及申请的主要事项;

(二)名称预先核准通知书和章程;

(三)注册资本数额及其证明文件;

(四)连锁经营单位总部经营场所产权证明或者租赁意向书;

(五)连锁经营单位总部法定代表人或者主要负责人的身份证明材料;

(六)音像制品连锁经营单位的组织机构、配送机构和配送管理制度等情况。

(七)相应的计算机管理条件的证明材料;

(八)法律、行政法规规定的其他材料。

文化行政部门应当自受理申请之日起30日内作出批准或者不批准的决定。批准的,应当发给《音像制品经营许可证》,由申请人持《音像制品经营许可证》到工商行政管理部门登记,依法领取营业执照;不批准的,应当说明理由。

未经批准和登记注册,不得在单位名称中使用“连锁”字样,不得以连锁方式从事音像制品批发、零售、出租经营活动。

第十五条  音像制品连锁经营单位可以采用直营连锁和特许连锁的经营方式。采用特许连锁方式的,应当具有从事直营连锁经营一年以上的经历,并报原审批部门核准。

直营连锁,是指连锁门店均由连锁总部全资或者控股开办,在总部的直接管理下统一经营。

特许连锁,是指连锁门店由连锁总部参股设立或者与连锁总部无资产关系,通过与总部签订合同,取得使用总部商标、名称、经营技术及销售总部商品的特许权。

音像制品连锁经营单位的配送中心以及直营连锁门店的名称中应当使用其总部名称中的字号。特许连锁门店经其总部同意,也可以使用其总部名称中的字号。

第十六条  经批准设立的音像制品连锁经营单位开办直营连锁门店或者设立连锁经营柜台不需单独办理《音像制品经营许可证》,可以凭连锁经营单位总部出具的《音像制品经营许可证》复印件报门店所在地县级人民政府文化行政部门备案后,到工商行政管理部门依法领取营业执照。

经批准设立的音像制品连锁经营单位开办特许连锁门店,连锁门店须按照本办法第十一条的有关规定办理审批手续,已具有《音像制品经营许可证》的,按有关规定办理变更手续。

第十七条  申请设立通过信息网络从事音像制品经营业务的单位,参照本办法第十条的有关规定办理审批手续,并将本单位的网站或者所链接网站名称、地址和电子邮件地址等情况报所在地省、自治区、直辖市人民政府文化行政部门备案。

第十八条  音像制品批发、连锁经营单位可以通过互联网从事音像制品经营业务,但应当备齐本单位《音像制品经营许可证》、网站或者所链接网站名、电子邮件地址等材料,报所在地省、自治区、直辖市人民政府文化行政部门备案后方可经营。

第十九条  申请人申请从事音像制品批发、零售、出租业务,应当如实向行政机关提交有关材料,并对其申请材料真实性负责。

第二十条  文化行政部门批准设立音像制品批发、零售、出租、连锁经营单位或者通过互联网从事音像制品经营业务的单位,或者批准个人从事音像制品零售、出租业务,应当公开批准文件,公众有权查阅。

第三章  经营与管理

第二十一条  从事音像制品批发、零售、出租业务的单位或者个人,不得经营下列音像制品:

(一)非音像出版单位出版的音像制品或者音像出版单位违法出版的音像制品;

(二)非音像复制单位复制的音像制品或者音像制品复制单位违法复制的音像制品;

(三)未经文化部批准进口的音像制品;

(四)供研究、教学参考或者用于展览、展示的进口音像制品;

(五)侵犯他人著作权的音像制品;

(六)其他违法音像制品。

第二十二条  从事音像制品零售、出租业务的单位或者个人应当从音像出版、批发单位进货。

音像出版、批发单位批发音像制品,应当按照国家有关规定提供发货凭证;发货单位或者进货单位应当自发货或者进货之日起2年内保存发货、进货凭证及相关票据材料,以备查验。

音像制品零售单位和从事音像制品零售业务的个人销售音像制品应当开具发票或收据,并注明音像制品名称、价格和金额。

音像制品出租单位和从事音像制品出租业务的个人应当登记出租音像制品的时间、名称和数量等事项。

第二十三条  音像出版单位出版的音像制品和音像制品成品进口单位进口的音像制品应当加贴文化部监制的音像制品防伪标识。

第二十四条  音像制品批发、零售、出租单位和从事音像制品零售、出租业务的个人应当将《音像制品经营许可证》悬挂在经营场所的显著位置。

音像直营连锁门店或连锁经营柜台应将《音像制品经营许可证》复印件悬挂在经营场所的显著位置。

第二十五条  通过信息网络从事音像制品经营业务的单位应当在其网站或者网页标明音像制品经营许可证编号、发证部门;所经营音像制品应标明名称、出版单位、中国标准音像制品编码;属进口音像制品的,应当同时标明进口批准文件文号。

第二十六条  音像制品批发、连锁单位应当自《音像制品经营许可证》下发之日起30日内将本单位音像制品仓库或者配送中心的具体地址、管理人员及其联系方式等情况报批准的文化行政部门登记备案;仓库或者配送中心的具体地址、管理人员及其联系方式等情况变更的,应自变更之日起15日内向批准的文化行政部门备案。

第二十七条  任何单位和个人不得托运、邮寄、运输或者储存本办法第四条规定禁止经营的和第二十一条规定不得经营的音像制品,或者为经营本办法第四条规定禁止经营的和第二十一条规定不得经营的音像制品提供场所、代理等便利条件。

第二十八条  县级以上人民政府文化行政部门应当依照国家有关规定加强对音像制品展览、展销、订货等会展活动的监督管理。

第二十九条  县级以上人民政府文化行政部门可以受理鉴定音像制品是否违法的申请。

申请人应当向音像制品获得地县级以上人民政府文化行政部门提出书面申请,提交音像制品样品及票据等材料,填写音像制品鉴定登记表;申请书应当载明音像制品的来源、名称、数量、获得日期和地点,提出鉴定目的和要求。

文化行政部门受理音像制品鉴定申请的,应当指定2名以上精通鉴定业务的人员承担鉴定工作,并自受理申请之日起10日内作出音像制品鉴定结论,出具音像制品鉴定书。

音像制品鉴定书应当载明申请鉴定的音像制品的名称、载体、出版发行单位、中国标准音像制品编码、激光数码存储片来源识别码、音像制品防伪标识等主要特征,申请人的名称、住址、有效证件及联系方式,以及鉴定结果等。

当事人对鉴定结果有异议的,可以自收到鉴定书之日起15日内提请上级文化行政部门进行复核,上级文化行政部门应当在收到复核申请书之日起15日内出具书面复核结论。

第三十条  音像制品批发、零售、出租和连锁经营单位变更名称、业务范围,或者兼并其他音像制品批发、零售、出租和连锁经营单位,或者因合并、分立而设立新的音像制品批发、零售、出租和连锁经营单位的,应当依照《音像制品管理条例》、本办法和企业登记管理有关规定办理审批和登记手续。

音像制品批发、零售、出租和连锁经营单位改变地址、法定代表人或者主要负责人或者终止经营活动,从事音像制品零售、出租业务的个人变更业务范围、地址或者终止经营活动的,应当到原登记的工商行政管理部门办理变更登记或者注销登记,并自登记之日起30日内向原批准的文化行政部门备案。但是,变更地址超过原发证机关管辖范围的,应当按照前款的规定办理审批和登记手续。

第三十一条  县级以上地方人民政府文化行政部门应当加强对音像制品批发、零售、出租单位从业人员的培训,提高从业人员掌握音像市场法规政策和鉴别违法音像制品的能力。

第四章  法律责任

第三十二条 文化行政部门及其工作人员,利用职务上的便利收受他人财物或者其他好处,批准不符合法定设立条件的音像制品批发、零售、出租单位,或者不履行监督职责,或者发现违法行为不予查处,造成严重后果的,对负有责任的主管人员和其他直接责任人员依照刑法关于受贿罪、滥用职权罪、玩忽职守罪或者其他罪的规定,依法追究刑事责任;尚不够刑事处罚的,给予降级或者撤职的行政处分。

第三十三条  文化行政部门的工作人员从事或者变相从事音像制品批发、零售、出租经营活动的,参与或者变相参与音像制品批发、零售、出租单位的经营活动的,依法给予撤职或者开除的行政处分。

文化行政部门有前款所列行为的,对负有责任的主管人员和其他直接责任人员依照前款规定处罚。

第三十四条  从事音像制品批发、零售、出租业务的单位或者个人经营明知或者应知含有本办法第四条禁止内容的音像制品的,由文化行政部门或经依法授权的执法机构责令停业整顿,没收违法经营的音像制品和违法所得;违法经营额1万元以上的,并处违法经营额5倍以上10倍以下的罚款;违法经营额不足1万元的,可以并处5万元以下的罚款;情节严重的,并吊销许可证;涉嫌犯罪的,按照有关规定移送司法部门,依法追究刑事责任。

第三十五条  从事音像制品批发、零售、出租业务的单位或者个人变更名称或者字号、地址、法定代表人或者主要负责人、业务范围等,未依照本办法办理审批、备案手续的,由文化行政部门或经依法授权的执法机构责令改正,给予警告;情节严重的,并责令停业整顿或者吊销许可证。

第三十六条  有下列行为之一的,由文化行政部门或经依法授权的执法机构责令停止违法行为,给予警告,没收违法经营的音像制品和违法所得;违法经营额1万元以上的,并处违法经营额5倍以上10倍以下的罚款;违法经营额不足1万元的,并处1万元以上5万元以下的罚款;情节严重的,并责令停业整顿或者由原发证机关吊销许可证;涉嫌犯罪的,按照有关规定移送司法部门,依法追究刑事责任。

(一)经营非音像出版单位出版的音像制品或者音像出版单位违法出版的音像制品的;

(二)经营非音像复制单位复制的音像制品或者音像制品复制单位违法复制的音像制品的;

(三)经营未经文化部批准进口的音像制品的;

(四)经营供研究、教学参考或者用于展览、展示的进口音像制品的;

(五)经营其他违法音像制品的。

第三十七条  有下列情形之一的,属本办法第三十四条、第三十五条、第三十六条所称的情节严重:

(一)违反《音像制品管理条例》或本办法规定,两年内受到文化行政部门两次行政处罚,再次违反《音像制品管理条例》或本办法规定的;

(二)停业整顿期间擅自营业的;

(三)经营明知或者应知含有本办法第四条禁止内容的音像制品产生严重社会影响的;

(四)经营本办法第二十一条规定不得经营的音像制品100张(盘)以上的;

(五)有其他严重违法情节的。

第三十八条  托运、邮寄、运输或者储存第四条规定禁止经营的和第二十一条规定不得经营的音像制品,或者为经营上述音像制品提供场所、代理等便利条件的,由文化行政部门或经依法授权的执法机构没收上述音像制品,并依照有关法律、法规对责任人予以处罚;涉嫌犯罪的,按照有关规定移送司法部门,依法追究刑事责任。

第三十九条  违反本办法规定,涂改、倒卖、出租、出借或者以其他形式非法转让依照本办法发放的许可证和批准文件,由文化行政部门或经依法授权的执法机构责令停止违法行为,并给予警告或者处以1万元以上3万元以下的罚款。

第四十条  音像出版、批发单位批发音像制品未按照国家有关规定提供发货凭证;发货单位或者进货单位没有自发货或者进货之日起2年内保存发货、进货凭证及相关票据材料的,由文化行政部门或经依法授权的执法机构给予警告或者处以5000元以下的罚款。

音像制品零售单位和从事音像制品零售业务的个人销售音像制品未开具发票和收据的,音像制品出租单位和从事音像制品出租业务的个人未登记出租音像制品的时间、名称和数量等事项的,由文化行政部门或经依法授权的执法机构给予警告或者处以3000元以下的罚款。

第四十一条  音像出版单位出版的音像制品和音像制品成品进口单位进口的音像制品未加贴文化部监制的音像制品防伪标识的,由文化行政部门或经依法授权的执法机构给予警告或者处以1万元以下的罚款。

第四十二条  音像制品批发、零售、出租单位和从事音像制品零售、出租业务的个人未将《音像制品经营许可证》悬挂在经营场所的显著位置的;音像直营连锁门店或连锁经营柜台未将《音像制品经营许可证》复印件悬挂在经营场所的显著位置的,由文化行政部门或经依法授权的执法机构给予警告或者处以3000元以下的罚款。

第四十三条  通过信息网络从事音像制品经营业务的单位未在其网站或者网页标明音像制品经营许可证编号、发证部门;所经营音像制品未标明名称、出版单位、中国标准音像制品编码;属进口音像制品的,未同时标明进口批准文件文号的,由文化行政部门或经依法授权的执法机构给予警告或者处以3000元以下的罚款。

第四十四条  申请人申请从事音像制品批发、零售、出租业务,以欺骗、贿赂等不正当手段取得行政许可的,文化行政部门可以依法撤销行政许可,并给予警告或者处以1万元以下的罚款。

第四十五条  单位被吊销许可证的,其法定代表人或者主要负责人自许可证被吊销之日起10年内不得担任音像制品批发、零售、出租单位的法定代表人或者主要负责人。

从事音像制品零售、出租业务的个人被处以吊销许可证行政处罚的,自许可证被吊销之日起10年内不得从事音像制品零售、出租业务。

第四十六条   批发、零售、出租含有本办法第四条规定禁止经营的和第二十一条规定不得经营的音像制品的,当事人对违法音像制品的来源作出说明、指认,经查证属实的,没收违法音像制品、违法所得,可以减轻或者免除其他行政处罚。

第四十七条   文化行政部门或经依法授权的执法机构应建立行政处罚公示制度,方便公众查阅。

第五章  附则

第四十八条  《音像制品经营许可证》由省、自治区、直辖市人民政府文化行政部门根据文化部提供的样式统一印制。

许可证分为正本和副本。正本为悬挂式,副本为折叠式。

第四十九条   本办法所称批发,是指向从事音像制品经营业务的单位或者个人销售音像制品的行为。

本办法所称零售,是指向消费者销售音像制品的行为。

本办法所称出租,是指向消费者租赁音像制品的行为。

本办法所称经营场所,包括销售、办公和仓储场所。

第五十条  法律、行政法规对中外合作音像制品分销企业、音像制品的进口和经营性音像制品放映活动的管理另有规定的,从其规定。

第五十一条  本办法由文化部负责解释。

第五十二条  本办法自2006年12月1日起施行。文化部2002年3月5日发布,2004年6月2日修订的《音像制品批发、零售、出租管理办法》同时废止。
