Management Rules on Foreign Press and Publications Organs Establishing Offices Within the Territory of China

Article 1: In order to standardize the establishment of foreign press and publications organs’ offices within the territory of China and their work activities, stimulate Sino-foreign press and publications exchange, on the basis of the “Publishing Management Regulations”, the “Foreign Enterprises’ Permanent Representative Organ Registration Management Regulations” and the “State Council Decision concerning Administrative Examination and Approval Matters and Administrative Permits that Need to Be Maintained”, these Rules are formulated.

Article 2: Offices as named in these regulations refers to offices established by newspaper, periodical, book, audiovisual product, electronic publication, network publication and other publishing organs as well as intermediary organs or agents engaging in press and publications business from abroad or the Hong Kong Special Administrative Area, the Macau Special Administrative Area or the Taiwan Region, that engage in non-commercial activities related to the business of that organ. Offices do not have legal person status.

Article 3: The General Administration of Press and Publications is responsible for supervision and management of foreign press and publications organs’ offices within the territory of China; provincial People’s Government administrative press and publications departments handle the relevant concrete work for foreign offices within their administrative areas and implement supervision and management over their business activities.

Article 4: The State implements a permit system for foreign press and publications organs establishing offices within the territory of China, the General Administration of Press and Publications is responsible for examination and approval together with the State Council Information Office.

Without permission, foreign press and publications organ may not established unauthorized offices within the territory of China.

Article 5: Foreign press and publications organs’ offices within the territory of China may engage in liaising, communication, consulting, receiving visitors and other non-commercial business activities, and may not engage in publication publishing, distribution, import, exhibition and other commercial activities related to press and publications business.

Article 6: Offices’ names are constituted by “the Chinese name of the home country (region) of the foreign press and publications organ” plus “the Chinese name of the foreign press and publications organ” plus “in the name of the city in question” plus “representative office”.

Article 7: Foreign press and publications organs establishing offices within the territory of China shall conform to the following conditions:

(1) foreign press and publications organs have continuously lawfully existed in their country of origin for five years or more;

(2) foreign press and publications organs have a good reputation, and do not have a record of violating the law;

(3) having the funding, personnel and fixes work premises corresponding to the business activities of the office;

(4) business scope conforming to the provisions of Chinese laws, administrative regulations and rules.

Article 8: The responsible persons of foreign press and publications organs’ offices within the territory of China as well as workers shall conform to one of the following conditions:

(1) foreign citizens holding lawful normal passports (not including foreign students abroad within the territory of China);

(2) Mainland Chinese citizens who have gained long-term residency status abroad;

(3) Hong Kong, Macau and Taiwan region persons having a valid identification card;

(4) Chinese citizens who have been employed through foreign service work units appointed by Ministry of Foreign Affairs (or provincial-level foreign affairs department).

Article 9: Foreign press and publications organs applying to establish an office within the territory of China, shall provide the following written materials to the provincial administrative press and publications bureau of the locality of the office:

(1) a letter of application signed by the legal representative of the organ, the content including the basic situation of the foreign press and publication organ, the name, business scope, dispatched personnel, period of dispatching and office address of the planned office;

(2) certification of the continuous lawful existence of the press and publications organ in the country (region) of origin;

(3) certification of use of the office’s work premises;

(4) credit certification issued by a bank in the locality of the planned office;

(5) appointment documents signed by the main responsible person of the said press and publications organ for the responsible person dispatched to the office within the territory of China;

(6) CVs and identification documents of the main responsible person of the planned office as well as work personnel.

Article 10: Foreign press and publications organs applying to establish an office within the territory of China, shall conduct this according to the following procedure:

(1) the said press and publications organ submits application materials to the provincial-level Peoples government administrative press and publications department of the locality where the office is to be established;

(2) the local provincial-level administrative press and publications department examines, verifies and agrees on this and, after soliciting the opinion of the same level’s People’s Government information office, reports it to the General Administration of Press and Publications for examination and approval;

(3) the General Administration of Press and Publications examines the reported materials submitted by the provincial-level People’s Government administrative press and publications department, solicits the opinion of the State Council Information office, and makes a decision of approval or non-approval within 45 working days of receiving the application.

(4) The office that has been approved for establishment goes to the local provincial-level administrative press and publications department to conduct registration formalities, and obtain a “Foreign Press and Publications Organ Office within the Territory of China Permit”. Where the foreign press and publications organ is an enterprise, its office in the territory of China must also go to the administrative industry and commerce management department to conduct corresponding formalities, and obtain the relevant licences according to the law.

Article 11: Where foreign press and publications organs’ offices within the territory of China change the registration matters of the permit, they shall conduct examination and approval formalities according to the provisions of Article 10 of these Rules.

Article 12: The period of validity of the “Foreign Press and Publications Organ Office within the Territory of China Permit” is six years. When the period expires and extension is required, extension formalities shall be conducted according to the procedure of Article 10 of these Rules ninety days before the period of validity expires. Where the period expires and these are not conducted, it shall be considered as the said office having voluntarily terminated business activities, the General Administration of Press and Publications cancels the “Foreign Press and Publications Organ Office within the Territory of China Permit”, and the local provincial-level People’s Government administrative press and publications department cancels registration; where the foreign press and publications organ is an enterprise, the local administrative industry and commerce management department cancels corresponding licences of offices within the territory of China.

Article 13: When applying to extend foreign press and publications organs’ offices within the territory of China, the following materials shall be submitted:

(1) a written application for extension signed by the main responsible person of the headquarters of the said press and publications organ;

(2) a copy of the “Foreign Press and Publications Organ Office within the Territory of China Permit”

(3) a report of the business activity situation of the said press and publications organ’s office within the territory of China in the previous period;

(4) materials provided by the provisions of Clauses (2) until (6) of Article 9 of these Rules.

Article 14: Where foreign press and publications departments’ offices within the territory of China terminate business activities, they shall notify the original approving organ and registering organ in writing ninety days in advance, the General Administration of Press and Publications cancels the “Foreign Press and Publications Organ Office within the Territory of China Permit”, and the local provincial-level People’s Government administrative press and publications department cancels registration; where the foreign press and publications organ is an enterprise, the local administrative industry and commerce management department cancels corresponding licences of offices within the territory of China.

Article 15: Foreign press and publications organs’ offices within the territory of China shall obey Chinese laws, regulations and rules, and may not engage in activities not conform to the nature of the office of the business scope.

Article 16: The General Administration of Press and Publications is responsible for the annual assessment of foreign press and publications organs’ offices within the territory of China, annual assessment includes the situation of the office’s launching business activities, and the situation of observing discipline and abiding by the law. Annual assessment is conducted once every two years.

Foreign press and publications organs’ offices within the territory of China conducting annual assessment, shall submit the following materials:

(1) an annual assessment application form;

(2) an annual work report of the said press and publications organ’s office within the territory of China;

(3) a duplicate of the “Foreign Press and Publications Organ Office within the Territory of China Permit” and a copy of the original.

Article 17: The General Administration of Press and Publications conducts examination of the annual assessment materials. Where the office conforms to annual assessment standards, the duplicate of the “Foreign Press and Publications Organ Office within the Territory of China Permit” will be stamped with the annual assessment stamp, and it may continue to engage in business activities; of those not qualifying at annual assessment or who do not participate in annual assessment according to regulations, the “Foreign Press and Publications Organ Office within the Territory of China Permit” is cancelled, and the local provincial-level People’s Government administrative press and publications department cancels registration; where the foreign press and publications organ is an enterprise, the local administrative industry and commerce management department cancels corresponding licences of offices within the territory of China.

Article 18: Where offices in the territory of China of foreign press and publications organs violate these Regulations, the General Administration of Press and Publications or the provincial, autonomous region or municipal administrative press and publications departments order cessation of the unlawful act, issue a warning, and may impose a fine of 30.000 Yuan or less.

Article 19: Permanent offices of foreign press and publications organs established within the territory of China that engage in newsgathering business must be handled according to the provisions of the “Regulations of the People’s Republic of China on Foreign Permanent News Organs and Foreign Journalists”.

Article 20: These Regulations take effect on (Day, Month) 2013.
境外新闻出版机构在中国境内
设立办事机构管理办法
(征求意见稿)

第一条 为规范境外新闻出版机构在中国境内办事机构的设立及其业务活动,促进中外新闻出版交流,根据《出版管理条例》、《外国企业常驻代表机构登记管理条例》及《国务院对确需保留的行政审批项目设定行政许可的决定》,制定本办法。
第二条 本办法所称办事机构是指外国及香港特别行政区、澳门特别行政区和台湾地区的报纸、期刊、图书、音像制品、电子出版物、网络出版等出版机构以及从事新闻出版相关业务的中介机构和代理机构在中国境内设立的,从事与该机构业务有关的非营利性活动的办事机构。办事机构不具有法人资格。
第三条 新闻出版总署负责境外新闻出版机构驻中国境内办事机构的监督管理;省级人民政府新闻出版行政部门为本行政区域内的境外办事机构办理有关具体事务,并对其业务活动进行监督管理。
第四条 国家对境外新闻出版机构在中国境内设立办事机构实行许可制度,由新闻出版总署会同国务院新闻办公室负责审批。
未经批准,境外新闻出版机构不得擅自在中国境内设立办事机构。
第五条 境外新闻出版机构驻中国境内办事机构可从事联络、沟通、咨询、接待服务等非营利性业务活动,不得从事出版物的出版、发行、进口、展览等与新闻出版业务有关的经营活动。
第六条 办事机构名称由“境外新闻出版机构所在国籍(地区)中文名称”加“境外新闻出版机构中文名称”加“驻在城市名称”加“代表处”构成。
第七条 境外新闻出版机构在中国境内设立办事机构,应符合以下条件:
(一)境外新闻出版机构在所在国为合法存续五年以上的机构;
(二)境外新闻出版机构具有良好信誉,没有违法记录;
(三)有与办事机构业务活动相适应的资金、人员和固定的工作场所;
(四)业务范围符合中国法律、行政法规、规章的规定。
第八条 境外新闻出版机构驻中国境内办事机构的负责人及其工作人员应当是符合下列条件之一的人员:
(一)持合法普通护照的外国公民(不包括外国在中国境内的留学生);
(二)在境外已经获得长期居住资格的中国内地公民;
(三)持有效身份证件的香港、澳门、台湾地区人员;
(四)通过外交部(或省级外事部门)指定的外事服务单位聘用的中国公民。
第九条 境外新闻出版机构申请在中国境内设立办事机构,应当向办事机构所在地省级新闻出版行政部门提交以下书面材料:
(一)申请机构法定代表人签署的申请书,内容包括境外新闻出版机构基本情况,拟设立办事机构的名称、业务范围、派驻人员、派驻期限、办公地址;
(二)该新闻出版机构在所在国(地区)合法存续的证明;
(三)办事机构工作场所使用证明;
(四)拟设立的办事机构所在地银行出具的资信证明;
(五)由该新闻出版机构主要负责人签署的派遣驻中国境内办事机构负责人的任命文件;
(六)拟设立办事机构负责人以及工作人员的简历及其身份证明。
第十条 境外新闻出版机构申请在中国境内设立办事机构,应当按照以下程序进行:
(一)该新闻出版机构向拟设立办事机构所在地省级人民政府新闻出版行政部门提交申请材料;
(二)所在地省级人民政府新闻出版行政部门审核同意并征求同级人民政府新闻办公室意见后报新闻出版总署审批;
(三)新闻出版总署对省级人民政府新闻出版行政部门提交的申报材料进行审核,并征求国务院新闻办公室意见,于受理申请之日起45个工作日内作出批准或者不予批准的决定;
(四)由批准同意设立的办事机构到所在地省级新闻出版行政部门办理登记注册手续,领取《境外新闻出版机构驻中国境内办事机构许可证》。境外新闻出版机构为企业的,其驻中国境内办事机构还需到所在地工商行政管理部门办理相关手续,依法领取有关证照。
第十一条 境外新闻出版机构驻中国境内办事机构变更许可证登记事项的,应当按照本办法第十条的规定重新办理审批手续。
第十二条 《境外新闻出版机构驻中国境内办事机构许可证》的有效期为6年。期满如需延期,应在有效期届满90日前按照本办法第十条的程序办理延期手续。逾期不办理的,视为该办事机构自动终止业务活动,由新闻出版总署撤销其《境外新闻出版机构驻中国境内办事机构许可证》,所在地省级人民政府新闻出版行政部门注销登记;境外新闻出版机构为企业的驻中国境内办事机构,所在地工商行政管理部门注销其相关证照。
第十三条 境外新闻出版机构驻中国境内办事机构申请延期,应当提交以下材料:
(一)该新闻出版机构总部主要负责人签署的延期书面
申请;
(二)《境外新闻出版机构驻中国境内办事机构许可证》复印件;
(三)该新闻出版机构驻中国境内办事机构在前一个驻在期业务活动情况报告;
(四)本办法第九条第(二)至第(六)项规定的材料。
第十四条 境外新闻出版机构驻中国境内办事机构终止业务活动的,应提前90日书面通知原批准机关和登记机关,由新闻出版总署撤销其《境外新闻出版机构驻中国境内办事机构许可证》,所在地省级人民政府新闻出版行政部门注销登记;境外新闻出版机构为企业的驻中国境内办事机构,由所在地工商行政管理部门吊销其相关证照。
第十五条 境外新闻出版机构驻中国境内办事机构应当遵守中国法律、法规和规章,不得从事与其机构性质和业务范围不符的活动。
第十六条 新闻出版总署负责境外新闻出版机构驻中国境内办事机构的年度核验,年度核验包括办事机构业务活动开展情况和遵纪守法情况等。年度核验每两年进行一次。
境外新闻出版机构驻中国境内办事机构办理年度核验,应当提交以下材料:
(一)年度核验申请表;
(二)该新闻出版机构驻中国境内办事机构年度工作报告;
(三)《境外新闻出版机构驻中国境内办事机构许可证》副本及正本复印件;
第十七条 新闻出版总署对年度核验材料进行审核。办事机构符合年度核验标准的,在其《境外新闻出版机构驻中国境内办事机构许可证》副本上加盖年度核验章,可以继续从事业务活动;年度核验不合格或不按规定参加年度核验的,撤销《境外新闻出版机构在中国境内设立办事机构许可证》,所在地省级人民政府新闻出版行政部门将注销登记;境外新闻出版机构为企业的驻中国境内办事机构,所在地工商行政管理部门将吊销其相关证照。
第十八条 境外新闻出版机构驻中国境内办事机构违反本办法的,由新闻出版总署或省、自治区、直辖市新闻出版行政部门责令停止违法行为,予以警告,并可处以3万元以下的罚款。
第十九条 外国新闻机构在中国境内设立从事新闻采访业务的常驻机构须按《中华人民共和国外国常驻新闻机构和外国记者采访条例》的规定办理。
第二十条 本规定自2013年 月 日起施行。
