Film Work Collective Copyright Management Use Fee Transfer Payment Rules

According to the “Copyright Law of the People’s Republic of China”, the “Collective Copyright Management Regulations” and the “China Film Copyright Association Constitution”, these rules on payment to rights holders of film work copyright use fees are formulated.

 

Chapter I: Scope of application and payment categories

Article 1: Scope of application

(1) These Rules apply to transfer payment film work copyright use fees collected by the China Film Copyright Association (hereafter simply named “Association”) according to the “Film Collective Copyright Management Use Fee Collection Standards” to copyright holders.

(2) These Rules also apply to transfer payment of film work copyright use fees entrusted to be collected by the Association according to “mutual representation agreements” concluded with corresponding foreign copyright associations.

 

Article 2: Transfer payment categories

The transfer payment categories provided in these Rules include: conventional transfer payment (initial transfer payment and final transfer payment), transfer payment of fees collected by foreign collective copyright management groups, other transfer payment.

 

Chapter II: Transfer payment principles and methods

Article 3: Transfer payment principles

(1) The rest of collected fees, after deducting the fees provided in Chapter III, must be timely and completely transferred to the copyright holder, and may not without reason be delayed, and may not be moved to other uses.

(2) For use fees for the same work collected from different users because of different use methods, a one-time transfer payment according to calendar year collection is implemented.

(3) After the rights holders have authorized the rights holder, registered and after checking the information they provided is correct and without error, they may receive the transferred use fees.

(4) When transferring use fees, transfer payment notes must be made, clearly indicating items such as the total use fee value, total management fee value, the rights holder’s name, the work’s name, the corresponding use situation, the value of the use fee transferred to the rights holder, etc. The time of preservation of notes is no less than ten years.

 

Article 4: Transfer payment methods

(1) Use fee collection and transfer payment must use an account appointed by the Association.

(2) According to the real situation of the work’s use and the extent of detail of the information in hand, the following three sorts of transfer payment methods are implemented:

Precise transfer payment. Under conditions where the user can, according to licence contracts, provide detailed work use information, or detailed information about the works’ use is obtained through an authoritative third party, transfer payment of use payment to the work’s rights holder shall be strictly made according to this accurate information;

Sampling transfer payment. Under conditions where the user base is relatively broad and the users have no means to provide detailed information about work use, it is permitted to implement sampling payment transfer according to sampling information;

Average transfer payment. Under conditions where the work’s user base is broad, the unit price for use is low and it is also hard to implement precise transfer payment or sampling transfer payment, it is permitted to implement average distribution of the use fees of corresponding works.

(3) When the same work has many rights holders, they shall each enjoy a proportion according to their registration with the Association which is checked to be without error, and the use fees shall be transferred to all rights holders; if all rights holders have unanimously agreed that one of them shall represent all rights holders in collecting use fees, then the use fees shall be transferred to that rights holder.

 

Chapter III: Management fees, copyright protection funds and reserve funds

Article 5: Management fees

(1) Of use fees for members’ film work copyright, the Association shall collect 10% of the net received use fees as management fees, this proportion shall progressively decrease following the increase of use fee income.

(2) Of use fees for non-members’ film work copyright, the Association shall collect 15% of the net received use fees as management fees.

(3) Of copyright use fees of which the collection was entrusted on the basis of “mutual representation agreements” with foreign corresponding copyright associations, the Association shall collect 8% of the net received use fees as management fees, for non-members’ film works, shall collect 12% of the net received use fees as management fees.

(4) Management fee use shall strictly comply with the implementation of the “Management Fee Use Rules” decided upon and passed by the general assembly, and shall be reported annually to the general assembly, and shall be supervised by the members.

 

Article 6: Copyright protection funds and reserve funds

(1) During the time between receiving use fees and transfer payment to the rights holder, the interest generated by the use fees shall be channelled into a copyright protection fund.

(2) The copyright protection fund and the rules for its use are to be decided by the Association’s board of directors. When the amount of the copyright fund is not high enough because of realistic needs, the board of directors may propose to draw a suitable proportion our of the use fee surplus or the transfer payment funds, to pour into the copyright protection fund, but this must be passed through a vote of the general assembly.

(3) If there is no clear basis in existing laws, regulations and judicial interpretations or work rights registrations are disputed, resulting in the impossibility to transfer use fees, these transfer payment sums shall be kept in a reserve fund.

 

Chapter IV: Conventional transfer payment

Article 7: Initial transfer payment

(1) Film works already registered according to the provisions of Chapter VI, the amount of annually collected use fees, after deduction of the fees provided in Chapter III, is the amount of the initial use fee payment.

(2) Within one month after the completion of collection work of use fees for a calendar year, initial transfer payment implementation is to be started.

 

Article 8: Final transfer payment

(1) Film works not registered according to the provisions of Chapter VI, if users use them lawfully and pay use fees on their own initiative, those use fees are listed in the reserve fund. Where rights holders update their registration within two years, they may acquire final transfer payment within one month after the day of registration; where they exceed the limit of two years without registration, those use fees are brought into the copyright protection fund.

(2) For reserve funds preserved according to Chapter III, Article 6, Paragraph (3), within one month after determining a legal basis or resolving the rights registration dispute, final transfer payment is implemented.

 

Chapter V: Transfer payment of use fees collected by foreign collective copyright management groups and other transfer payment

Article 9: Transfer payment of use fees collected by foreign collective copyright management groups

(1) Transfer payment of use fees collected by foreign collective copyright management groups refers to mutual representation agreements concluded by the Association with foreign collective copyright management groups and use fees collected according to agreement.

(2) For use fees collected by foreign collective copyright management groups, single item settlement is implemented, and within one month of receiving use fees, they shall be transferred to the rights holder.

(3) Use fees collected abroad shall without exception be paid to the rights holder in Renminbi according to the rate of the day of exchange.

 

Article 10: Other transfer payment

Under special circumstances, it is permitted to, on the basis of a decision of the board of directors, implement other transfer payments for certain works.

 

Chapter VI: Supplementary provisions

Article 11: Work registration

(1) Film works included in collective copyright management must be registered by the rights holder with the Association, and a collective copyright management contract must be concluded with the Association.

(2) Work registration must clearly indicate detailed matters such as the work’s name, the personal name or naming of the rights holder, the copyright transfer situation (where there already is transfer, the time limit and the transferee’s personal name or naming shall be indicated), the date of publication and first screening (first broadcast), etc.

(3) Starting from the calendar year of work registration, the rights holder may obtain transferred use fees.

 

Article 12: The Association’s work database

(1) The Association’s work database includes all film works of which Association members authorized management to the Association.

(2) The Association’s work database includes film works independently authorized by rights holders themselves and all film works authorized to foreign similar organizations having concluded a mutual representation agreement with the Association

 

Article 13: The implementation and revision of the Rules

(1) These Rules are passed after discussion by the general assembly and implemented after reporting by the State Council administrative copyright entity.

(2) Revision of these Rules must be passed by the general assembly upon request of the board of directors and the State Council administrative copyright entity must be petitioned for approval.

 

Article 14: The interpretation right of these Rules

These interpretation right of these Rules is with the Association’s board of directors.

电影作品著作权集体管理使用费转付办法

根据《中华人民共和国著作权法》、《著作权集体管理条例》和《中国电影著作权协会章程》,制定向权利人转付电影作品著作权使用费办法。

 

第一章 适用范围和转付类型

第一条 适用范围

(1)   本办法适用于中国电影著作权协会(以下简称“协会”)按《电影作品著作权集体管理使用费收取标准》收取的电影作品著作权使用费向电影作品权利人的转付。

(2)   本办法还适用于由协会按与境外相关著作权协会订立的“相互代表协议”委托收取的电影作品著作权使用费的转付。

第二条 转付类型

本办法规定的转付类型包括:常规转付(首次转付和最终转付)、境外著作权集体管理组织收取的使用费转付和其他转付。

 

第二章 转付原则和方式

第三条 转付原则

(1)   收取的使用费在扣除第三章规定的费用后,其余必须及时足额向作品权利人转付,不得无故拖延,不得挪作他用。

(2)   同一作品向不同使用者因不同使用方式收取的使用费,实行按日历年度汇集后一次转付。

(3)   权利人向协会授权、登记并经核实其所提供的信息准确无误后,可以获得转付的使用费。

(4)   转付使用费必须编制使用费转付记录,载明使用费总额、管理费总额、权利人名称、作品名称、有关使用情况、向权利人转付使用费数额等事项。转付记录保存期不低于十年。

第四条 转付方式

(1)   使用费的收取和转付必须使用协会指定的账户。

(2)   根据作品使用的实际情况及能掌握的信息详尽程度,实行下列三种转付方式:

精确转付。在使用者能按许可合同提供详尽的作品使用信息,或通过具有权威性的第三方能获得作品使用的详尽信息的情况下,应严格依据这些信息精确地向作品权利人转付使用费;

抽样转付。在使用面较广而使用者又无法提供作品使用的详尽信息的情况下,可按抽样调查的信息实行抽样转付;

平均转付。在作品使用面广、使用单价低而又难以实行精确转付或抽样转付的情况下,可对相关作品的使用费实行平均分配。

(3)同一作品有多个权利人时,应按向协会登记并核实无误的各方分享比例,将使用费转付给各权利人;如各权利人一致同意其中一个权利人代表各方收取使用费,则使用费转付给该权利人。

 

第三章 管理费、版权保护基金和准备金

第五条 管理费

(1)   会员电影作品的著作权的使用费,协会按实收使用费提取10%作为管理费,这一比例应当随着使用费收入的增加而逐步降低。

(2)   非会员电影作品的著作权的使用费,协会按实收使用费提取15%作为管理费。

(3)   按与境外相关著作权协会订立的“相互代表协议”委托收取的著作权使用费,协会从实收使用费中提取8%作为管理费,非会员电影作品从实收使用费中提取12%作为管理费。

(4)   管理费的使用应严格遵照会员大会表决通过的“管理费使用办法”执行,并每年向会员大会通报,接受会员监督。

第六条 版权保护基金和准备金

(1)   从收到使用费至向权利人实行转付期间,使用费产生的利息纳入版权保护基金。

(2)   版权保护基金及其使用办法由协会理事会决定。因确有实际需要而版权保护基金又数额不足时,理事会可提议从使用费结余或转付款项中提取适当比例注入版权保护基金,但必须经会员大会表决通过。

(3)   如因无现行法律、法规和司法解释的明确依据或对作品权利登记有争议,致使其使用费无法转付时,该应转付款项留作准备金。

 

第四章 常规转付

第七条 首次转付

(1)   已按第六章规定登记的电影作品,每年收取的使用费扣除第三章规定的费用后的金额为使用费首次转付总额。

(2)   在日历年度使用费收取工作完成后一个月内开始实行首次转付。

第八条 最终转付

(1)   未按第六章规定登记的电影作品,如使用者合法使用并主动交纳使用费,该项使用费列入准备金。权利人两年内作补充登记的,在登记日后一个月内可获得最终转付;逾期两年不作登记的,该项使用费纳入版权保护基金。

(2)   按第三章第六条(3)留取的准备金,在确定法律依据或权利登记争议解决后一个月内,实行最终转付。

 

第五章 境外著作权集体管理组织收取的使用费转付和其他转付

第九条 境外著作权集体管理组织收取的使用费转付

(1)   境外著作权集体管理组织收取的使用费是指境外著作权集体管理组织与协会订立相互代表协议并按协议收取的使用费。

(2)   境外著作权集体管理组织收取的使用费实行单项结算并在收到使用费一个月内向权利人转付。

(3)   境外收取的使用费一律按兑换日牌价向作品权利人转付人民币。

第十条 其他转付

在特殊情况下,可以根据协会理事会的决定,对某些作品实行其他转付。

 

第六章 附则

第十一条 作品登记

(1)   纳入著作权集体管理的电影作品必须由权利人向协会登记,并与协会订立著作权集体管理合同。

(2)   作品登记必须载明作品名称、权利人姓名或名称、著作权转让情况(已转让的应注明年限及受让方姓名或名称)、出品和首映(首播)日期等详细信息。

(3)   从作品登记的日历年度开始,权利人可以获得转付的使用费。

第十二条 协会作品库

(1)   协会作品库包括协会会员授权协会管理的所有电影作品。

(2)   协会作品库还包括权利人自己独立授权的电影作品和境外同类组织与协会签订相互代表协议所授权的电影作品。

第十三条 办法的实行和修改

(1)   本办法经会员大会讨论通过并经国务院著作权管理部门公告后实行。

(2)   本办法的修改必须经理事会提请会员大会通过并报请国务院著作权管理部门批准。

第十四条 本办法解释权

本办法解释权属协会理事会。
